FinTech client operating within the alternative investment space with offices in Toronto, Ontario.
Job Description
The VP, Legal Counsel will work closely with the General Counsel and other members of the legal team on the following:
- Draft and review all private fund offering materials, partnership agreements, NDAs, and other relevant documentation
- Serve as the go-to attorney for all securities, corporate governance and regulatory matters in Canada
- Negotiate directly with fund managers and distribution agents
- Manage outside counsel
- Work with internal and external clients across Canada and the US
The Successful Applicant
- JD from top law school with excellent academic credentials and GPA
- Member of the Law Society of Ontario
- 5-8 years of experience within the Fund Formation/Private Funds group of a top law firm in Canada, ideally combined with in-house experience at an asset management firm
- In-depth experience with provincial and territorial securities laws, instruments, and policies that includes experience with registrant regulation (including NI 31-103 and IIROC), private placements and laws of general application to an asset management business and fund offerings in Canada
- In-depth experience handling Canadian securities laws and regulatory framework
- Experience drafting and negotiating fund documents, side letters, placement agreements and related fund materials
- Team player
- Excellent communication skills
