As Legal Counsel, you will be responsible for providing effective legal advice, leadership, oversight, and risk mitigation relating to all legal matters involving the company, with primary focus on corporate and commercial matters. Roles & Responsibilities

  • Report to, and coordinate with, the Chief Legal Officer and internal subject matter experts regarding legal matters involving the company.
  • Provide internal legal advice, guidance, and negotiate on commercial matters and disputes.
  • Develop and negotiate commercial agreements and documentation.
  • Oversee the design and implementation of the company’s legal policies and positions.
  • Participate in negotiations and documentation related to mergers and acquisitions, commercial opportunities, financing, borrowing, and real estate matters.
  • Handle corporate structuring and administration, including finance and shareholder matters.
  • Protect the company from legal risks and violations.
  • Assess legal issues related to new products and services.
  • Coordinate with external counsel on legal matters.
  • Guide management on regulatory and compliance issues to ensure adherence to legal regulations.

Skills, Knowledge, & Abilities

  • Experience managing contracts, negotiating terms, and providing strategic legal advice.
  • Clear and confident communication skills to explain legal concepts effectively.
  • Collaborative approach and strong problem-solving skills in a fast-paced environment, with experience coordinating with internal and external legal counsel.
  • Knowledge in litigation, regulatory, employment, and other legal practice areas is beneficial, although primary focus is on corporate and commercial matters.

Education & Experience

  • A Bachelor of Law or Juris Doctor degree, LL.B, J.D., with active membership in good standing with the Law Society of Manitoba.
  • 1 to 5 years of relevant legal experience, either in private practice or as in-house counsel.
