Legal Counsel

We have partnered with th BF&M Group of Companies, a multinational insurance organization, in their search for an experienced and proactive Legal Counsel to join their dynamic legal team. The successful candidate will provide legal expertise to support the group’s operations, manage legal risks, and ensure compliance with regulatory requirements across multiple jurisdictions. This role requires a commercial mindset, strong negotiation skills, and the ability to navigate complex legal and regulatory environments in the insurance sector.

Key Responsibilities

  • Provide strategic legal advice to the business on a wide range of matters, including insurance contracts, corporate governance, regulatory compliance, and employment law.
  • Support product development teams by reviewing and advising on policy wording and marketing materials.
  • Advise on licensing, cross-border transactions, and other jurisdictional regulatory issues.

Contract Management

  • Draft, review, and negotiate a variety of contracts, including reinsurance agreements, distribution agreements, service provider contracts, and non-disclosure agreements.
  • Ensure contracts align with company policies and applicable legal standards.

Regulatory Compliance

  • Monitor and interpret changes in insurance-related legislation and regulations across relevant jurisdictions.
  • Support regulatory reporting and liaise with regulatory authorities as required.
  • Identify, assess, and mitigate legal and regulatory risks associated with business activities.
  • Provide legal input into the company’s risk management framework and recovery planning processes.
  • Manage litigation and dispute resolution matters, coordinating with external counsel as needed.
  • Support claims handling teams on complex legal disputes and policy interpretations.

Corporate Governance

  • Assist with corporate governance matters, including board meetings, corporate filings, and shareholder communications.
  • Ensure compliance with corporate laws and regulations in all operating jurisdictions.

Cross-Functional Collaboration

  • Partner with compliance, finance, operations, and underwriting teams to provide holistic legal support.
  • Serve as a trusted advisor to senior leadership on strategic initiatives and transactions.

Training and Development

  • Deliver training to business teams on legal, regulatory, and compliance matters.
  • Promote a culture of legal awareness and risk management within the organization.

Key Qualifications

Education and Professional Experience

  • Qualified lawyer with a degree in Law (LLB or equivalent) and admission to a law society in Canada.
  • Minimum 5 years of post-qualification experience, preferably within the insurance, corporate and commercial, or financial services sector.

Skills and Competencies

  • Experience working within different regulatory frameworks, and corporate governance.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to manage multiple priorities in a fast-paced, global environment.
  • Excellent communication and interpersonal skills to collaborate effectively with internal and external stakeholders.
