Turtle Island Staffing is seeking a skilled lawyer to join their Legal Affairs - Financing team in Vancouver. The successful candidate will provide legal advice on financing matters, collaborate with business units, and support strategic projects. This role requires a Bachelor of Laws and significant experience in commercial law, with a focus on teamwork and client-centric solutions.
POSITION OVERVIEW
We are seeking a skilled and qualified lawyer to become a member of our dynamic and collaborative Legal Affairs - Financing team in Vancouver to advise on a variety of financing matters and participate and support strategic organizational projects. The successful candidate will work collaboratively within the Legal Affairs team, as well as with internal business units and external counsel.
The Legal Affairs team consists of internal legal counsel and legal assistants (paralegals). The role involves providing legal advice, guidance and business direction to business centres and operational units as well as external counsel, on issues related to loan structuring, financing, security taking, administration and enforcement. The candidate must be able to demonstrate experience and expertise and provide clear advice on security documentation, address priority and other issues that arise when taking real and personal property security, and other loan and security-taking matters. The candidate will be expected to have the ability to review and revise loan commitment documentation, security and other financing documents, ensuring that legal advice is consistent with a practical business approach. Having knowledge of bankruptcy, insolvency and enforcement proceedings is an asset for this position.
CHALLENGES TO BE MET:
Act in an advisory capacity, making recommendations to business centres and operational units on external client financing matters and/or internal projects which impact clients and the conduct of the organization’s business
Provide strategic advice to business centres, special accounts (enforcement) and business restructuring groups on the handling of problem accounts, assist in developing or approving plans of action, instruct external counsel as required and monitor compliance with BDC’s policies and procedures relative to enforcement of loan security
Act as liaison between external counsel and internal partners to provide business-focused legal advice
Negotiate and revise loan security agreements as required and draft new clauses as needed
Provide support, coaching, training and direction to members of Legal Affairs team (lawyers and legal assistants (paralegals))
Prepare and present ongoing legal training to internal partners
Monitor and provide opinions on national and regional laws, regulations and decisions that may affect BDC’s financing activities, and report necessary changes to management
Advise management as to any observed deficiencies or issues in BDC security forms or procedures, make recommendations for improvement and draft standard forms and procedures as necessary
Partner with various business units to advise on various business initiatives
Play a leadership role in cross-department, and/or multi-jurisdictional strategic projects
Remain current with technological developments applicable to BDC processes
WHAT WE ARE LOOKING FOR
Bachelor of Laws
Membership in good standing with the Law Society of British Columbia
At least 5 to 7 years of relevant experience in commercial law, financial services law, commercial real estate. Bankruptcy, Insolvency and Liquidation experience as in-house counsel is an asset
Ability to collaborate to resolve complex issues, and effectively manage competing priorities in a fast-paced, high-volume environment and aptitude for following through and driving tasks to completion
Ability to analyze a question and take a decisive path forward in a timely manner
Excellent judgment and problem-solving skills
Excellent verbal and written communication skills
Strong presenter and trainer, ability to simplify and explain loan practices and procedures
Positive attitude, with a focus on team building and a strong client-centric approach
Bilingualism in French and English is an asset
