Jobbeschreibung

As Legal Counsel, you will provide practical, strategic, and business-focused legal advice across a broad range of corporate, commercial, regulatory, and litigation matters. You will work closely with leadership and cross-functional stakeholders to support informed decision-making, mitigate legal risks, and ensure compliance with applicable laws and regulations. The role combines hands-on contract drafting and negotiation with dispute management, corporate governance, and legal risk assessment. You will help protect the organization’s interests while enabling business growth through commercially sound legal strategies. Working in a fast-paced, collaborative environment, you will manage diverse legal matters, engage with external counsel, and build trusted relationships across the organization. This fully remote opportunity is ideal for a Canadian-qualified legal professional who enjoys balancing complex legal challenges with practical business priorities.

Accountabilities
  • Legal Advice and Business Partnership: Provide timely, practical, and strategic legal advice to management on corporate and commercial matters, mergers and acquisitions, civil disputes, litigation, insurance-related arrangements, real estate leases, errors and omissions claims, intellectual property, privacy, access matters, and employment law.
  • Legal Risk Management: Identify, assess, and communicate legal and regulatory risks associated with business decisions, operations, products, services, and third-party relationships. Develop proactive, commercially informed recommendations to mitigate exposure while supporting organizational objectives.
  • Commercial Contracts and Transactions: Draft, review, interpret, and negotiate commercial agreements and other legal documents to protect organizational interests, preserve legal rights, and minimize risk. Advise on customer and vendor contracts, insurance-related service agreements, and complex commercial arrangements.
  • Corporate Transactions: Support corporate transactions and strategic initiatives, including due diligence, contract interpretation, and the implementation of negotiated terms.
  • Litigation and Dispute Management: Manage civil disputes, litigation, and errors and omissions claims, developing appropriate legal strategies and coordinating external counsel to achieve timely, cost-effective resolutions.
  • External Counsel and Stakeholder Relations: Coordinate with external legal advisors, regulators, clients, vendors, and other third parties on legal, contractual, and compliance matters.
  • Governance and Regulatory Compliance: Contribute to the development, implementation, and continuous improvement of corporate governance frameworks, internal policies, and procedures. Support corporate filings, licensing, and other applicable regulatory requirements.
  • Legislative and Regulatory Monitoring: Track relevant legislative, regulatory, and industry developments, assess their potential business impact, and communicate necessary actions to internal stakeholders.
  • Cross-Functional Collaboration: Build trusted relationships with business leaders and internal teams, translate complex legal requirements into practical operational guidance, and handle confidential or sensitive matters with discretion and professionalism.
Requirements
  • Education: LL.B. or J.D. degree from an accredited Canadian or U.S. law school.
  • Professional Qualification: Called to the bar in a Canadian province and a member in good standing.
  • Relevant Experience: Between 2 and 5 years of post-call legal experience gained in a reputable law firm, an in-house legal department, or a combination of both.
  • Commercial Contract Expertise: Demonstrated experience drafting, reviewing, interpreting, and negotiating commercial contracts and legal agreements.
  • Broad Legal Knowledge: Ability to assess a wide range of legal issues, understand their implications for business operations, and provide clear, practical, commercially informed advice.
  • Litigation and Dispute Management: Experience supporting litigation, managing disputes, or coordinating with external counsel on complex legal matters.
  • Analytical and Strategic Thinking: Strong analytical skills, sound judgment, and the ability to develop effective legal strategies, evaluate risk, and recommend proportionate solutions.
  • Communication and Influence: Excellent written and verbal communication skills, with the ability to explain complex legal concepts clearly and build credibility with stakeholders at different levels.
  • Negotiation and Collaboration: Strong negotiation skills and the ability to balance commercial objectives with legal protections while maintaining productive internal and external relationships.
  • Organization and Prioritization: Excellent attention to detail, accountability, and time management, with the ability to handle multiple matters accurately in a fast-paced environment.
