We are seeking an experienced Law Clerk for our Corporate / Commercial practice, centrally located in Barrie near many local amenities. This is a full-time permanent position.

Law Clerks are vital team members responsible for providing legal administrative support to our lawyers. This includes preparing correspondence, agreements, contracts, and other legal documents, and acting as the intermediary between clients, third parties, and lawyers.

You will have expertise in all phases of the business life cycle, including:

  • Preparation of corporate documents such as articles of incorporation, amalgamation, dissolution, continuance, and supporting documents, as well as business name and partnership registrations.
  • Preparation of corporate re-organization and rollover documents, including agendas.
  • Handling documentation for corporate transactions like asset and share sales/purchases, including closing agendas.
  • Preparation of documents related to not-for-profit corporations and charitable status applications.
  • Conducting due diligence searches, including NUANS searches.
  • Preparing documents and searches for commercial financing transactions.
  • Managing commercial real estate transactions, including title searches, registration, and related documents.
  • Attending to registration and closing of commercial transactions.
  • Preparing commercial leasing documents.
  • Maintaining minute books and preparing annual resolutions.
  • Handling general corporate documentation such as changes in directors, officers, or shareholders.
  • Performing administrative duties including calendar management, file management, reporting, and billing.

Skills and Knowledge required:

  • Minimum of 3-5 years of hands-on experience with a Law Clerk diploma.
  • Exceptional organizational, written, and verbal communication skills.
  • Attention to detail and excellent grammatical and spelling skills.
  • Proficiency with Word, Outlook, Excel, LEAP, Ecore, Teraview, Unity, Fast Company, Ontario Business Registry.
  • Commitment to excellence and high standards.
  • Ability to manage priorities and workflow effectively.
  • Ability to understand and follow written and verbal instructions.
  • Ability to work well with a diverse range of individuals.
  • Good judgment and decision-making skills.
  • Creative, flexible, and an innovative team player.
  • Versatility and willingness to adapt to changing priorities with enthusiasm.

Job Types: Full-time, Permanent
