Job description
What You’ll Do

As part of our Governance and Compliance Team, you will be responsible for providing compliance and annual maintenance support for our clients. In this position you will perform tasks which include annual returns, resolutions / minutes, certain corporate changes, incorporations and organizations, extra-provincial registrations, business name registrations, and simple amendments.

You will also review and summarize corporate search results, assist senior law clerks with straightforward minute book reviews and any related remediation or updates, and update corporate databases to ensure accurate and up-to-date information. Additionally, you will be responsible for entering dockets for tasks performed daily, in accordance with firm standards. This role may also involve other duties as assigned by the Director, Law Clerks and Paralegals.

What You Bring

The ideal candidate will have a Law Clerk / Paralegal Diploma and / or Degree from an accredited University or College program, or equivalent experience, along with a minimum of 2 years of relevant experience in a Law Clerk, Paralegal, or similar role, ideally with a focus in Business Law. A strong understanding of corporate governance and compliance practices is essential. Proficiency in Microsoft Office 365 (Word, Excel, Outlook), iManage, Adobe Professional, and virtual communication tools like Microsoft Teams is required. Experience with cloud-based corporate data management software (example MinuteBox) is an asset. Strong written and verbal communication skills, attention to detail, and the ability to work independently and in a team environment are crucial. The successful candidate will demonstrate excellent organizational skills, the ability to manage multiple priorities, meet tight deadlines, and maintain composure under pressure while projecting a professional image.
