About Our Client

Our client is a Canadian family office managing an inter-generational, institutional-sized investment portfolio for over 15 years across all major asset classes. The team is known for excellence and collaboration. The Legal Counsel should be goal-oriented, capable of integrating into the team and managing stakeholder relationships effectively.

The role combines General Counsel responsibilities with day-to-day legal operations, aiming to reduce reliance on external legal providers while ensuring governance, risk management, and operational discipline.

Responsibilities

Corporate, governance

• Maintain corporate records, minute books, and filings
• Ensure timely government reporting and KYC compliance
• Recommend organizational changes for efficiency and cost-effectiveness
• Coordinate meetings, draft resolutions and minutes
• Ensure compliance with laws, bylaws, charters, and shareholder agreements
• Oversee governance activities and keep committees informed of legal matters

Commercial, contracts

• Review, draft, and negotiate various contracts
• Provide legal advice to the office and affiliates
• Manage external counsel and litigation
• Create legal templates and train staff
• Perform additional legal and strategic tasks as needed

Qualifications

• Member of the Bar in Quebec or other Canadian jurisdiction
• 10+ years of corporate legal experience
• Strong knowledge of governance, risk mitigation, contract law, and compliance
• Pragmatic, solutions-focused, and adaptable to a fast-paced family office environment
• Excellent communication, interpersonal skills, and discretion
• Fluent in English and bilingual abilities
• Experience with family offices or investment entities is an asset
