The Senior Legal Counsel contributes to the success of the Legal Department in Canada by ensuring the execution and delivery of specific goals, plans, and initiatives that support the team’s business strategies and objectives. The incumbent provides legal services and advice to the Bank and its subsidiaries on various matters, ensuring compliance with regulations, internal policies, and procedures.

Is this role right for you? In this role, you will:
  • Champion a customer-focused culture to deepen client relationships and leverage broader Bank relationships, systems, and knowledge.
  • Provide legal support primarily to the Global Equity Derivative (GED) business.
  • Support the development of new structured note products.
  • Advise on novel note and pre-clearance matters.
  • Review structured note offering documents and collaborate with legal counsel on transactional and non-transactional matters.
  • Manage note and GIC reviews according to the Legal Pre-Approval Policy.
  • Draft and review offering documents, including private placements and filings with securities regulators globally.
  • Support GED trades, including documentation and listings.
  • Coordinate with external legal counsel and manage legal expenses.
  • Attend relevant committees and stay updated on legal and regulatory changes.
  • Promote a high-performance, inclusive work environment.
Skills and Qualifications:
  • Graduate of a recognized law school with membership in the Law Society of a Canadian province.
  • 8-10+ years of legal experience, preferably in structured notes, structured products, or corporate finance/securities.
  • Strong analytical, communication, and problem-solving skills.
  • Ability to handle a heavy workload and prioritize effectively.
Working Conditions:

Standard office environment with some non-standard hours. Initially, in-office presence expected 4 days/week, then at least 3 days/week. The role involves handling a significant workload with tight deadlines and shifting priorities.
