Job description

We are seeking an accomplished Senior Legal Counsel with a strong focus on transactional work, including the negotiation and drafting of complex contracts and service agreements. This role is ideal for a legal expert with comprehensive experience advising on diverse areas such as commercial law, corporate governance, litigation, environmental regulations, labor relations, and sustainability initiatives. In this role, you will provide strategic guidance, ensuring the organization operates within all legal parameters while managing risks and enabling business growth.

Key Responsibilities :

  • Negotiate, draft, and review complex legal documents, including contracts, service agreements, and joint venture arrangements.
  • Provide expert legal advice across various areas, including commercial law, corporate securities, M&A, employment law, and environmental regulations.
  • Monitor and assess legislative changes, advising leadership on their impact on the company's strategy, policies, and operations.
  • Conduct risk assessments on customer / vendor relationships, operations, and industry challenges to provide proactive recommendations.
  • Collaborate with various departments to deliver high-quality legal support and ensure alignment with business objectives.
  • Serve as a key advisor on intellectual property matters, including portfolio management, licensing, and patent litigation.
  • Address data privacy and cybersecurity concerns, ensuring compliance with GDPR, CCPA, and emerging regulations.
  • Contribute to sustainability initiatives, advising on issues like renewable energy, recycling, and environmental claims.
  • Manage relationships with external counsel as needed to achieve efficient legal solutions.

Preferred Skills and Expertise :

  • Juris Doctor (JD) or equivalent degree, with a minimum of 8 years of legal experience in a corporate or law firm setting.
  • Strong expertise in intellectual property, including patent prosecution, portfolio management, and licensing.
  • Experience handling data privacy and cybersecurity issues, including operationalizing legal requirements.
  • In-depth knowledge of corporate law, joint ventures, and complex commercial transactions.
  • Solid understanding of sustainability-related legal matters, including renewable energy projects.
  • Proven ability to navigate complex legal and business challenges with sound judgment.
  • Excellent interpersonal skills for building strong relationships with clients, stakeholders, and team members.

Basic Qualifications :

  • Active membership in a State / Provincial Bar Association.
  • Bilingual (English and French) proficiency is advantageous but not mandatory.
  • Strong ability to provide practical business-oriented legal advice to cross-functional teams.
