ABOUT OUR CLIENT

Our client is a Canadian family office that has been managing an inter-generational, institutional-sized investment portfolio for over 15 years, investing across all major asset classes. The office’s team is known to be excellent, bright and values the dynamics of a group that works well together. The Legal Counsel should be goal-driven, someone who ‘gets it done’, while able to seamlessly integrate into the team and successfully manage relationships with all stakeholders.

The role specifically combines the responsibilities of a General Counsel with day-to-day legal operations, aiming to reduce reliance on external legal providers while ensuring strong governance, risk management, and operational discipline.

RESPONSIBILITIES

Corporate, governance

  • Maintain corporate records, including minute books and filings
  • Ensure timely and accurate government reporting and KYC compliance
  • Recommend and implement organizational changes to enhance efficiency and cost-effectiveness
  • Schedule and coordinate meetings, draft and maintain resolutions and minutes
  • Ensure compliance with laws, bylaws, charters, and shareholder agreements
  • Oversee governance activities of Shareholder, Board, Audit, Investment, and Governance Committee meetings; keep Audit Committee and Board informed of high-risk legal matters

Commercial, contracts

  • Review, draft, and negotiate contracts and agreements (e.g., investment agreements, loan agreements, bespoke investments, or contracts with third-party vendors)
  • Provide general legal advice to the office and affiliated entities
  • Manage external counsel
  • Advise on and oversee management of litigation and dispute resolution
  • Create and implement standard legal templates and train staff for streamlined operations
  • Perform additional legal and strategic tasks as requested by Executive Leadership or the Chairperson

QUALIFICATIONS

  • Member of the Bar in Quebec or other Canadian jurisdiction
  • 10+ years of corporate legal experience, ideally with a mix of in-house counsel and private practice
  • Strong understanding of corporate governance, risk mitigation, contract law, and compliance frameworks
  • Pragmatic, solutions-focused, and comfortable operating in a fast-moving, confidential family office environment
  • Excellent communication and interpersonal skills, discretion
  • Fluently bilingual with an excellent level of written English
  • Experience working with family offices, investment entities, or multi-generational ownership structures is an asset.
