The Manager, Bank Governance supports the Corporate Secretary and Governance Office to ensure compliance with relevant acts, policies, and obligations related to corporate governance. This role includes executing duties of the Chief Corporate Governance Officer, such as ensuring regulatory compliance, researching governance trends, and advising on management committee governance.

Is this role right for you? In this role, you will:
  1. Business Strategy:
  • Research and analyze corporate governance matters relevant to the Bank’s strategy, framework, and policies.
  • Research issues related to shareholder meetings, engagement, and governance for the Board and management.
  • Draft and review the Bank’s proxy circular, meeting materials, and support the annual shareholder meeting.
  • Assist in drafting public disclosures, ESG reports, and related documents.
  • Business Plan Execution / Growth:
    • Develop governance policies for Board review and approval.
    • Research global governance practices and ensure legal compliance.
    • Maintain a culture of transparency and accountability within the governance framework.
  • Operational Management and Improvement:
    • Regulatory Awareness: Stay informed on regulatory trends affecting governance.
    • Policies, Procedures, and Systems Development: Develop and implement governance policies and systems to ensure compliance.
    • Management Committees: Manage committee information repositories, reporting protocols, and validation systems.
  • Relationship Management:
    • Collaborate with Legal Counsel to address regulator queries.
    Do you have the skills that will enable you to succeed? We’d love to work with you if you have:
    • 2-3+ years of governance-related experience.
    • JD or LLB from a recognized law school (asset).
    • Knowledge Areas: Knowledge of banking, Canadian regulations, corporate governance in financial institutions, ethical standards, and organizational structure.
    • Abilities: Ability to prioritize, exercise judgment, communicate effectively, and build networks.
    • Skills: Strong communication, influencing, results-driven, and relationship-building skills.
