Job Description

Member of the Legal Affairs, Fixed Income and Real Estate Credit team based in Montreal, the holder of this position will work closely with other team members and external legal advisors to structure and negotiate the terms of our debt investments.

In exercising these responsibilities, the director must consider the unique nature of CDPQ and ensure that its interests are protected.

What you will do

  • Support investment teams
    • Assist the investment teams located in Montreal, Toronto, New York, Paris, and London in evaluating, executing, and managing debt investments, including corporate credit, financing solutions (real and financial asset monetization), infrastructure financing, and real estate credit.
    • Make recommendations regarding the structuring and/or syndication of certain investments and applicable regulatory requirements or restrictions.
    • Participate in negotiating, preparing, and reviewing legal documents such as offer letters, commitment documents, credit agreements, creditor arrangements, securities, and guarantees.
    • Contribute to activities related to acquisition financing and related questions in infrastructure investments and private placements, as well as related operations of portfolio companies.
    • Provide support in post-investment activities from a legal, commercial, and regulatory perspective, including management and restructuring of investments.
    • Identify potential issues and develop creative solutions to help achieve CDPQ’s business objectives, protect its interests, and uphold its values in both investment and portfolio management contexts.
  • Regulatory watch
    • Ensure compliance with all applicable laws and regulations, including the legislation governing CDPQ, namely the Act respecting the Caisse de dépôt et placement du Québec and its regulations.
    • Monitor regulatory developments in relevant jurisdictions and establish partnerships with other members of the Legal Affairs, Compliance, and Secretariat group to proactively resolve emerging regulatory issues.
  • Stakeholder collaboration
    • Work with other Legal Affairs team members to design and implement new tools to increase team efficiency and collaboration.
    • Lead and support external legal advisors in evaluating legal issues, drafting documentation, and efficiently managing their mandates.
    • Collaborate with internal departments such as tax, risk management, public affairs, ethics, and compliance.

What you bring

  • Law degree and 8 to 12 years of experience in financing, in areas such as real estate financing, corporate credit, private debt, structured finance, or infrastructure financing.
  • Experience with an institutional investor, sovereign fund, or investment fund is an asset.
  • Restructuring experience is an asset.
  • Experience managing law firms and legal expenses is a significant asset.
  • Member of the Quebec Bar; registration with a common law bar is an asset.
  • Fluent in French and English, both oral and written.
