Counsel, Business Conduct Office

Overview:
The Business Conduct Office (“BCO”) develops and promotes policies and training that ground Mastercard’s culture: the Code of Conduct, Whistleblower Policy, Non-Retaliation Policy, and the Conflicts of Interest Guidelines. Mastercard has various channels for reporting misconduct allegations, and the BCO and Employee Relations ensure investigations are conducted fairly and thoroughly.

As Counsel in the BCO based in Canada, you will conduct internal investigations into business misconduct and perform other BCO activities, including vetting conflicts of interest and drafting training materials, communications, and reports. This role requires the ability to conduct privileged investigations independently from start to finish, including identifying issues, reviewing documents, conducting interviews, and presenting findings in writing and meetings. Expertise in investigations, a solid understanding of applicable laws and regulations, and the ability to communicate effectively at various organizational levels are essential. Attention to detail, judgment, and handling confidential matters appropriately are also required.

The role reports to the Senior Vice President, Counsel, Business Conduct Office.

Responsibilities:
  1. Conduct complex investigations globally, focusing on Recorded Future, a Mastercard subsidiary.
  2. Assist first-line Compliance in establishing and maintaining a compliance culture at Recorded Future.
  3. Maintain best-in-class compliance policies and programs worldwide.
  4. Respond swiftly to incidents and inquiries, safeguarding confidentiality and protecting reporters and the franchise.
  5. Consult with internal Law Department colleagues and external counsel as needed.
  6. Analyze and resolve conflicts of interest thoughtfully and promptly.
  7. Build and maintain positive relationships with internal stakeholders including Legal & Global Policy, Employee Relations, People & Capability, Corporate Security, Finance, Internal Audit, and Compliance Program Owners.
  8. Develop and update policies and procedures, overseeing their implementation.
  9. Assist in preparing Audit Committee materials, analyzing investigation metrics.
  10. Support the BCO mailbox and other key initiatives as required.
Qualifications:
  • Law degree required.
  • Advanced investigation experience.
  • Understanding of laws applicable to a global payments technology company and a US-headquartered public corporation.
  • Strong partnership and collaboration skills across teams and regions.
  • Proven leadership, integrity, and ability to manage large projects and prioritize effectively.
  • Experience managing multiple projects and deadlines with minimal supervision.
  • Excellent communication skills, with attention to detail in drafting and proofreading.
  • Ability to interpret regulations and laws and communicate complex information clearly.
  • Experience in policy development and management preferred.
  • Strong data analytics skills and experience using data to identify trends preferred.
