The Corporate Trust Officer manages and directs the administration of a portfolio of Corporate Trust client accounts. The Corporate Trust Officer is responsible for the review and negotiation of new appointment documents, ensuring that Equity is protected from risk and that the administrative duties are clearly set out and manageable. Will also work with the Client Management team in support of our Transfer Agent business.
Key Accountabilities :
Negotiate the terms of a variety of trust and non-trust agreements of varying complexity under which TSX Trust will assume both contractual and fiduciary obligations, assess the degree of associated risk and make recommendations on the acceptability of new business and fees to be charged.
Review and evaluate all legal documentation on corporate financing and on other transactions to ensure they are in forms that meet and can be coordinated to meet, standards adequate for the protection of TSX Trust.
Represent TSX Trust in leading a portfolio of accounts, including working with legal counsel and / or senior officers of client companies on a variety of matters including agreement interpretation issues, corporate defaults, fee schedules and their application, service quality questions, amendments of or special services under existing contracts and other matters.
Analyze and interpret agreements to set up internal operation of files and coordinate with appropriate business units to ensure fulfillment of contractual requirements. Ensure / monitor ongoing compliance of assigned files by TSX Trust and clients. Monitor and control all accounts receivable.
Prepare and execute correspondence to clients, their legal counsel or investors. Resolve fees, coordinate with Assistant Trust Officer to bill, and report all fees for special and ancillary services.
Provide outstanding customer service to corporate clients, their legal counsel, and investors.
Identify and escalate matters with appropriate analysis and recommendations to their direct manager.
Maintain vital standards of knowledge and expertise in applicable areas of law, commerce, corporate finance, and securities markets as well as internal policies and procedures.
Find opportunities for and participate in developing new business and product offerings.
Must Have :
University Degree (law, business, commerce, or finance major).
4-6 years experience in the financial, corporate / commercial, or securities industry OR minimum 1 -3 years experience as a practicing lawyer.
Strong analytical skills and good judgment
Excellent written and verbal communication skills in English and French is considered an asset (contacts and collaboration with clients and colleagues English only)
Highly organized with strong attention to detail
Able to build and maintain positive relationships with a proven track record to understand client’s needs, be proactive and creative
Ability to work both independently and as part of a team.
Strong ability to balance competing priorities in a time-sensitive environment and stay poised and positive
