Reporting to the Manager, Governance and Assistant Secretary, the Corporate Paralegal is responsible for maintaining the corporate records of Air Canada and its subsidiaries and filing corporate reports with Canadian and foreign regulatory authorities. This position also ensures that Air Canada and its subsidiaries comply with applicable regulations, and assists in continually improving Air Canada's corporate governance best practices.

Responsibilities
  • Monitor and ensure compliance with provincial, federal and foreign regulations.
  • Prepare and file documentation with various regulatory authorities in Canada and foreign jurisdictions.
  • Draft corporate resolutions and related documents.
  • Prepare annual returns in order to maintain Air Canada and its subsidiaries in good standing in Canada and foreign jurisdictions.
  • Maintain physical and electronic corporate records, including minute books and ledgers, corporate registers, company files, directors and officers listings, corporate structure charts and other standard subsidiary company records.
  • Prepare and circulate shareholder and director resolutions.
  • Draft and coordinate the signature of corporate documents (e.g. officer certificates, board resolutions, written consents).
  • Support the review and benchmarking of disclosure and governance documents.
  • Perform corporate searches and assist with research required by the Office of the Corporate Secretary.
  • Review of requests from various internal groups and prepare information and documents.
  • Provide administrative support to the Manager, Governance and Assistant Secretary, as required.
  • Otherwise support the projects and activities of the Office of the Corporate Secretary.
Qualifications
  • 3-5 years of experience in Corporate Secretarial, legal department, law firm or equivalent, an asset
  • College diploma as a paralegal or equivalent is required
  • Experience with Corporations Canada and provincial registry filings is required
  • Proficiency in Microsoft Office (Word, PowerPoint, Excel, Outlook)
  • Strong organizational skills, excellent time management skills and an ability to shift priorities on an ad hoc basis
  • Excellent communication skills, both verbal and written
  • Solid work ethics, high degree of integrity and dedication
  • High personal standards, discretion in handling sensitive and confidential information
  • Dedication to follow through on commitments, and openness and honesty in communications
  • Excellent client service orientation with both external and internal customers
  • Self-motivated to work independently with a high regard for accuracy, attention to detail and confidentiality
  • Must be able to work effectively in a team environment
  • Flexibility and willingness to undertake a variety of assignments and to work outside regular office hours on occasions
  • Demonstrate punctuality and dependability to support overall team success in a fast-paced environment
