We are looking for a highly motivated Corporate Database Law Clerk, Corporate Secretariat to join our team in Toronto. As a key member of the Corporate Secretariat you will be joining a dynamic and talented team who deliver exceptional services.
You will be responsible for a combination of the following:
Maintaining and optimizing our corporate database
Ensure the accuracy and completeness of entity data within the corporate database in a timely manner
Manage user access, permissions, and roles within the corporate database
Monitor process performance and identify areas for improvement
Maintain and update entity records, including directors, officers, and shareholders
Collaborate with cross-functional teams and external law firms to ensure efficient data flow and effective communication
Conduct data audits and reconciliation to identify and correct errors
Assisting senior law clerks or lawyers with assigned matters, which includes ongoing corporate filings, searches and filings in connection with transactions
Preparing routine minute book documentation
Preparing and filing articles and corporate documentation relating to simple and complex incorporations, particularly under the OBCA and CBCA
Preparing and filing annual returns, business name, partnership, and limited partnership registrations
Proactively identifying issues and recommending solutions
To succeed in this role, you have:
Completion of law clerk program recognized by the Institute of Law Clerks of Ontario
3+ years of related experience gained in a law firm or in-house legal department
Expertise with corporate database(s) (Athennian, MinuteBox, etc.)
A Member in good standing with the Institute of Law Clerks of Ontario
In depth knowledge and understanding of relevant corporate statutes
Superior organizational and time management skills
Excellent computer skills, including but not limited to Word, Outlook
Strong written and oral communication skills
Competent research and problem-solving skills
Detail oriented, hardworking, and self-motivated
Ability to work independently with minimal supervision from senior law clerks and/or lawyers
Familiarity with extra-provincial and foreign entity record keeping is an asset
