Job summary

Doman Building Materials Group Ltd. is seeking a Corporate Counsel in Canada to support both Canadian and U.S. operations across governance, commercial and compliance matters. You will work with senior management and external counsel to drive risk management and practical legal solutions.

The role emphasizes corporate governance, employment, health and safety, environmental law, real estate, and dispute resolution, with a focus on drafting, analysis and business-minded advice.

Qualifications

  • 3 to 7 years of relevant experience in corporate commercial law, securities, M&A or a comparable in-house legal role.
  • Excellent drafting, analytical and organizational skills, with strong attention to detail.
  • Strong understanding of public company legal, governance and disclosure requirements.
  • Business and legal experience in wholesale distribution, building materials, forestry, manufacturing, logistics or multi-site operations will be considered an asset.
  • Experience gained from a broad range of commercial transactions and business contracts.
  • Strong written and verbal communication skills, with the ability to provide clear, practical advice to business teams.
  • Ability to manage multiple priorities, work independently and exercise sound judgment under time constraints.
  • Self-starter with the ability to work well both independently and as part of a collaborative legal and business team.
  • Practical, business-minded and solutions-oriented approach.

Responsibilities

  • Securities filings and compliance - public company governance, disclosures, annual reports, proxy materials for shareholder meetings, and quarterly financial filings.
  • Acquisitions - negotiations and documentation, due diligence and closings.
  • Financings - private and public, debt, equity and credit facility matters.
  • Drafting and reviewing commercial agreements for constituent operating divisions and corporate functions, including supply, customer, procurement, services, logistics, confidentiality and technology-related agreements.
  • Identify, research and advise on legal risks and practical mitigation strategies.
  • Advise on employment, labour and workplace matters in coordination with HR and external counsel.
  • Litigation management.
  • Develop and maintain legal templates, policies, processes and other tools to improve consistency and efficiency across the legal function.

Job description

Reporting to the General Counsel and Corporate Secretary, the Corporate Counsel will support Doman Building Materials Group Ltd. (TSX: DBM) and its Canadian and U.S. operations across a broad range of legal, governance, commercial and compliance matters. The role will work closely with senior management, divisional leaders and external counsel, with a focus on corporate governance, employment law, health and safety, environmental law, real estate matters, resolution of disputes and claims and general legal risk management. The successful candidate will bring sound judgment, practical problem solving skills, strong drafting ability, and a business-minded approach to legal advice.

EXPECTED CONTRIBUTIONS

KNOWLEDGE, SKILLS, AND ABILITIES

EDUCATION
  • Licensed and in good standing with a provincial law society in Canada
  • J.D., LL.B. or equivalent law degree from a recognized institution
COMPENSATION AND BENEFITS
  • The typical hiring range for this position is $140,000 - $160,000 annually. The base pay offered is based on geographical location and may vary depending on the applicant's job-related knowledge, skills, experience, and internal equity. Similar positions located in other geographical locations may not necessarily receive the same salary range. The compensation information is an estimate and provided to meet with applicable provincial Pay Transparency legislation.
