Marshall Canada requires a Contract & ITB Manager in Ottawa, ON to join our team. Reporting to the Senior Manager, Commercial & Legal, the Contract & ITB Manager will play a pivotal role in managing various aspects of our contracts and ITB commitments as well as supporting the Senior Manager, Commercial and Legal - Canada. This role involves drafting, negotiating, and managing contracts with customers and ensuring compliance with legal standards and company policies.
Your responsibilities in this role :
Contract Management :
- Prepares, executes, and maintains agreement documents covering subcontracts, cooperation, confidentiality, personal services consulting, and representatives (agency), including negotiating terms and conditions on renewals when requested.
- Assists in responding to queries from internal stakeholders on contractual matters pertaining to sales, procurements, lease administration, insurance, etc.
- Reviews contract terms and conditions for bids & proposals; ensuring contracts and other documents comply with relevant regulations, laws, and industry standards.
- Ensures contracts are reviewed and renewed before expiry dates.
- Manages company registrations in mandatory systems such as PSPC Supplier Registration Information system, US Government System for Award Management (SAM), and associated US procurement systems. Maintains Joint Certification Program requirement (JCP), Dun & Bradstreet, and NATO Cage Code Registrations (NCAGE).
- Assists with drafting, review, and management of Non-Disclosure Agreements (NDAs).
- Monitors compliance with and administers terms of the various contract provisions.
- Coordinates and collaborates with design staff to resolve interferences, review contractor-requested substitutions, Supplemental Instructions, Proposed Change Notices, Change Directives, and Change Orders.
- Reports risks to management periodically, highlighting issues and strategies for mitigation.
- Maintains records and filing systems for future reference on existing and new contracts, bids, and proposals.
- Reviews End User Statements received by Procurement and Contract Services related to equipment purchases to ensure compliance.
- Focuses on continuous improvement by anticipating evolving business needs and regulatory changes, demonstrating vision in advancing tools, technology, and processes.
- Performs other duties as assigned by the Senior Contract and Commercial - Canada.
Industrial Technological Benefits (ITB) and Value Proposition Management :
- Manages the industrial and technological benefits commitments and portfolio of the company.
- Coordinates reporting against obligations and ensures necessary actions are documented to demonstrate ITB eligibility criteria.
- Reports to internal stakeholders on current ITB status and develops strategies to meet outstanding commitments.
- Coordinates with internal customers (e.g., sub-contracts and procurement) for supplier selection and contractual negotiations to maximize industrial and technological benefits.
- Coordinates with Canadian government agencies (e.g., ISED), customers, and the Global Offset Manager to ensure alignment.
- Performs other duties as assigned by the Senior Contract and Commercial - Canada.
Apply if you have most of the following :
- An undergraduate degree in business administration, legal studies, or completion of a related post-secondary education program, or a paralegal or law clerk with at least two years of experience, and/or a legal administration diploma.
- At least six years of experience working in contracts administration or a legal office setting.
- Excellent written and verbal communication skills with the ability to clearly explain legal terms to cross-functional teams.
- Experience with legal and regulatory issues related to commercial contracts.
- Experience in offsets / ITBs management, including drafting, negotiating, and managing complex transactions.
- Ability to interpret and apply government guidelines and policies (such as SACC, FARs, DFARs) in business contexts.
- Ability to manage multiple files and report progress/status as requested.
- Meticulous attention to detail and strong problem-solving skills.
- Proactive and diligent approach to staff issues related to areas of responsibility.
- Excellent interpersonal and communication skills, including dealing with all organizational levels and external parties.
Must be eligible to meet export control regulations, including the Canadian Controlled Goods Program and security requirements.
