Contributes to the overall success of the Global Control Room team, ensuring specific goals, plans and initiatives are delivered in support of the team’s business strategies and objectives, while ensuring that all activities are conducted in compliance with governing regulations, internal policies and procedures.
Is this role right for you? In this role, you will:
• Responsible for administering compliance programs with respect to the use of confidential and material non-public information (MNPI): list maintenance, wall crossing, conflict management, research disclosures, regulatory requests and securities aggregation.
• Manages and resolves conflicts of interests between various business groups including Investment Banking, Corporate Banking, Equity Capital Markets, Debt Capital Markets and Research, using trading/research restrictions and information boxes (as needed).
• Maintains and updates deal records on all transactions submitted to the Global Control Room including amendments to watch/restricted lists using the most accurate information.
• Appropriately applies the Bank’s Information Barriers policy during the lifecycle of the deal, and in ad-hoc situations (i.e., wall crossings, deal tree separation, etc.).
• Reviews and pre-clears trade requests from relevant business groups including Equity Derivatives Trading, Prime Services, and Treasury/Pension Groups based on securities aggregation data and systems.
• Performs Chaperoning duties by enforcing the Information Barrier rules and regulations to ensure the independence of Equity Research. Any interactions between Investment Banking and Equity Research will be facilitated using appropriately chaperoned emails, meetings and calls.
• Operates with the Bank’s risk appetite in mind to effectively manage the impact on Research. This includes reviewing notes prior to publication, prohibiting publication when necessary, conducting safe harbour analysis, and updating research disclosures on the Research platform.
• Assists in the preparation of responses to inquiries from regulatory bodies as they relate to Control Room functions.
• Assists the Control Room Management in the development of internal policies and procedures to enhance the effectiveness of program delivery and reflect changes in regulatory requirements.
• Collaborates with managers, business analysts, and developers to drive the delivery of new technology projects. Contributes to the delivery and implementation of new technology by facilitating and performing end user testing, data validation and normalization, end user procedures, aides and training materials and consideration of all key aspects of the project.
Do you have the skills that will enable you to succeed in this role? - We'd love to work with you if you have:
• Post-Secondary education and/or professional designations
• A minimum of 1-3 years of relevant experience in an institutional business or compliance setting in a large financial institution, established securities dealer or regulatory agency.
• Knowledge of industry practices regarding institutional compliance matters.
• Effective communication skills both oral and written.
• An enquiring mind, sound judgment and a strategic thinker who can, when appropriate, be tactical and pragmatic.
• Ability to learn, adapt and remain resilient in a dynamic regulatory and business environment.
• Comfort with using Microsoft applications (including Word, Excel and Power Point) and Bloomberg would be an asset.
• Strong analytical skills.
• Capable of simultaneously handling multiple tasks and meeting stringent deadlines.
• Self-motivated, confident and capable of working both independently and in a team environment.
• High level of integrity.
• An understanding of the Investment Industry Regulatory Organization of Canada (IIROC) rules and FINRA rules is an asset, as is an understanding of Canadian securities and banking legislation.
