About the role : We are seeking a dynamic and results-oriented Chief Financial Officer (CFO) to lead our software growth-through-acquisition holding company. The CFO will oversee equity and debt capitalization, improve finance team productivity, and ensure operational excellence across portfolio companies. Key responsibilities include supporting M&A activities, enhancing strategic finance, and building a high-performing finance and accounting function.

About you : You have prior experience in software businesses (especially B2B SaaS or vertical market software), strong knowledge of financial operations, and thrive in environments where the finance core capabilities are still developing. You are scrappy, decisive, and capable of providing oversight without over-engineering, scaling finance efficiently. This role reports to CEO Alex Spencer and works closely with Director of Finance Khanh Ngo.

Key Responsibilities :

Financial Strategy & Capital Allocation

  • Develop and oversee financial strategies supporting growth (organic and M&A).
  • Optimize capital allocation across the portfolio.
  • Advise the CEO and board on investment decisions, debt structures, and negotiate on the company's behalf.
  • Prioritize reinvestment, acquisitions, and dividend policies.
  • Identify and execute financing strategies, including non-dilutive funding, seller financing, structured earn-outs, revenue-based financing, grants, and partnerships.
  • Leverage capital markets knowledge to reduce costs and maintain financial flexibility aligned with company returns.

Financial Planning & Analysis (FP&A)

  • Lead forecasting, budgeting, and long-range planning across units.
  • Monitor KPIs and unit economics at company and portfolio levels.
  • Provide financial modeling and scenario analysis for strategic decisions.

Operational Finance

  • Implement scalable financial processes and systems.
  • Drive standardization and automation of reporting and workflows.
  • Ensure cost control, margin optimization, and working capital efficiency.
  • Collaborate with Operations to maintain healthy financial status and address issues proactively.

M&A and Post-Acquisition Integration

  • Lead due diligence, valuation, and risk analysis for acquisitions.
  • Work with business development on deal structuring and ROI assessment.
  • Manage post-acquisition financial integration and synergy realization.

Governance, Reporting & Compliance

  • Ensure timely, accurate financial and management reporting for stakeholders.
  • Maintain strong internal controls and audit readiness.
  • Ensure compliance with regulations (GAAP, IFRS, SOX, local laws).
  • Coordinate audits, tax filings, and regulatory reviews.
  • Manage relationships with auditors, tax advisors, and legal counsel.
  • Develop policies promoting accountability, risk mitigation, and ethics.
  • Oversee equity management, shareholdings, stock options, and warrants, including quarterly shareholder reporting.
  • Manage tax obligations, develop tax strategies, and oversee audits/disputes.

Portfolio Support & Performance Management

  • Partner with portfolio leadership on financial goals and KPIs.
  • Support pricing, profitability, cost optimization, and turnaround efforts.

Team Leadership

  • Build and mentor finance teams at corporate and portfolio levels.
  • Foster a culture of ownership, data-driven decisions, and continuous improvement.

About you :

  • Strong M&A execution and integration experience.
  • Experience managing multiple small P&Ls and decentralized structures.
  • Deep understanding of SaaS and recurring revenue models.
  • Ability to balance financial discipline with entrepreneurial agility.
  • Exceptional communicator capable of translating data into strategy.
  • Expertise in capital markets.
