How You’ll Help Us Better Serve Our Clients

Clark Wilson is seeking a junior to intermediate-level Associate to join our Private Company Transactions group. The ideal candidate will have 2-3 years of experience in private company M&A and corporate commercial practice.

Our Private Company M&A practice provides advice on mergers, acquisitions, corporate reorganizations, and other significant corporate transactions. We work with private companies across various industries, with a particularly strong track record in mid-market M&A transactions ranging from $10 million to $200 million. We also provide general business law support as external counsel to local, national, and international businesses.

This is a full-time, permanent position and is ideal for anyone wanting to join a firm that takes pride in having a collegial working atmosphere, where growth and professional development are supported.

What You’ll Be Doing

• Overseeing the M&A due diligence process;
• Running transactions from start to finish, including negotiating LOIs and NDAs;
• Drafting and negotiating Asset Purchase Agreements and Share Purchase Agreements;
• Preparing ancillary closing documentation for transactions;
• Dealing with and handling undertakings, cash, and trust accounts; and
• Reviewing corporate commercial contracts and agreements of various types;
• Experience in leasing, commercial real estate, IP and bank financing, as well as the ability to review and analyze complex commercial contracts, would be an asset. A general understanding of employment law would also be beneficial.
