Job description

Associate Director, Specialized Transactions and Products

Join the National Bank of Canada as an Associate Director in Toronto, within the Specialized Transactions and Products, Legal team. You will serve as an expert advisor, ensuring compliance with regulatory requirements in mortgage aggregation, asset acquisition and finance, securitizations, and derivatives. Your role involves delivering high-quality legal services, managing legal, regulatory, and reputational risks, and advising on a broad range of complex transactions in a fast-paced environment.

Your responsibilities include:

  • Monitoring and addressing statutory requirements related to securitization, asset acquisition and finance, mortgage aggregation, and derivatives across Canada.
  • Providing legal support to various teams including Asset Acquisition and Finance, Securitization, Mortgage Derivatives, Risk Management Solutions, and Global Securities Finance.
  • Supporting the development, structuring, and documentation of securitization, asset finance, mortgage aggregation, and derivative transactions.
  • Representing NBC’s legal interests in legislative, business, and industry initiatives.
  • Managing relationships with internal and external stakeholders such as legal, regulatory, compliance, taxation, and accounting teams.

Team overview:

You will join a dynamic team of 15 lawyers and paralegals based in Toronto and Montreal, reporting to the Managing Director, Legal, in Toronto. The team is known for its expertise, responsiveness, and creativity.

Basic requirements:

  • At least 5 years of experience in securities law, secured lending, or related transactional roles, in-house or at a recognized law firm.
  • LL.B. / J.D. from a recognized law school and membership in the Law Society of a Canadian province.
  • Expertise in capital markets legal and regulatory issues, advising on securities, banking law, and treasury transactions in Canada.
  • In-depth understanding of the legal environment governing financial services in Canada, the US, and G20 countries.
