The RBC Capital Markets Law Group is seeking to staff a securities lawyer in an Associate Director & Senior Counsel position to support the Investment Banking and Global Markets trading businesses. This position involves advising on transactional, project and regulatory matters across a variety of businesses including M&A, Equity and Debt Capital Markets.Job Description
What will you do?
Provide advice and counsel in a practical, user-friendly manner to investment bankers, as well as sales, trading and structuring personnel at all levels of RBC Capital Markets’ Investment Banking and Global Markets trading businesses
Advise on reputational risk matters, inspiring confidence at all levels of Capital Markets employees with respect to the identification and management of legal risk
Review, draft and negotiate various agreements including M&A and offering engagement letters, bid letters, and other transaction documents
Provide supplemental legal coverage for the investment banking industry and product coverage groups
Prepare and update standard forms, policies, and procedures for the investment banking business
Provide support on offering documents, underwriting agreements and other capital markets transaction documentation
Work with external counsel on investment banking transactional matters
What do you need to succeed?
Must have
JD/LLB from a recognized law school, called to the Bar of a recognized jurisdiction
Experience: At least 3 - 4 years in a law firm and/or in-house investment banking position practicing securities law
Strong drafting, negotiating and analytical skills; strong interpersonal communication skills; ability to facilitate business in a risk-appropriate and cost-effective manner
Exposure to M&A transactions; equities trading; prospectus underwritings; various types of public company securities law transactions such as normal course and standard issuer bids, and block trades; and working knowledge of Ontario provincial securities laws, and CIRO and TSX rules
Excellent judgment, strategic and practical thinking, and the ability to work under tight deadlines

Hybrid office/work from home environment; mandatory minimum of 4 days per week in office, with an option of 1 day per week work from home
