Job description

About This Position

We are seeking a Lead Assistant General Counsel to join our Legal team.

Responsibilities and Qualifications
  • Advising the company on corporate and securities regulation compliance, prospectus reviews, assessing and advising on regulatory changes, and providing legal support for corporate governance matters.
  • Collaborating closely with the General Counsel to provide strategic legal advice on complex issues, managing legal risks, and ensuring compliance with relevant laws and regulations.
  • Supporting business operations by offering legal counsel to executive management.
  • Providing advice on the legal implications of strategic business decisions across various legal issues, focusing on operational responsibilities related to Mutual Fund Dealers and Mutual Fund Managers.
  • Monitoring ongoing compliance with applicable laws, regulations, and industry guidelines, including securities, technology, artificial intelligence, data privacy, and other tech-driven initiatives.
  • Analyzing legal issues, conducting research, and drafting legal documents such as contracts, agreements, and opinions.
  • Collaborating with the Securities Compliance Team to ensure regulatory adherence.
  • Negotiating contract terms and managing due diligence processes.
  • Contributing to the development of the company's legal strategy and risk management framework, including research and opinion drafting to support business objectives.
  • Identifying opportunities to improve legal processes and efficiency.
  • Managing annual reviews and regulatory filings for an investment fund manager.
  • Handling other matters and special projects as assigned by the General Counsel.
  • Representing the Legal Team before Executive Management and at the Parent Company level, including presentations and providing real-time advice.
  • Supervising and guiding members of the legal team.
Preferred Qualifications
  • LL.B./J.D. from an accredited Canadian university and membership in good standing with at least one Canadian provincial law society, preferably Ontario.
  • 10-15 years of managerial or leadership experience providing legal counsel in the financial services sector, with a preference for Securities and/or Mutual Fund industry experience.
  • Securities and litigation experience is an asset.
  • Experience with investment filings and documentation review/preparation related to mutual funds.
  • Strong negotiation skills for effective interaction with management, stakeholders, and regulators.
  • Excellent analytical and problem-solving abilities.
  • Leadership and mentorship qualities developed through active involvement.
  • Deep understanding of Canadian laws and regulations relevant to the role.
  • Ability to handle complex legal matters independently.
  • Experience in regulatory risk management and policy development/review.
  • Highly organized, adaptable to change, and capable of thriving in a growth environment.
  • Exceptional interpersonal, communication, and presentation skills.
