As the Assistant General Counsel, reporting to the Vice President, Assistant General Counsel for US and Canada legal matters, you will lead contract negotiations and provide counsel on various legal issues. Prior experience in an in-house legal department, negotiating sell-side/client contracts, procurement contracts, and vendor negotiations is required.

A Day in the Life

  • Lead client-facing contract negotiations, including Master Lease Agreements (MLAs), Master Services Agreements (MSAs), Confidentiality Agreements, amendments, and related documents.
  • Collaborate with sales, finance, and risk teams to support business development and client relationships.
  • Support legal inquiries related to contracts, disputes, and compliance.
  • Draft and negotiate vendor and sourcing agreements.
  • Advise stakeholders on legal terms, compliance risks, and negotiation strategies.
  • Ensure contracts comply with company policies, data security standards, and regulations.
  • Work with other North American transactional lawyers on legal and business inquiries.
  • Develop and improve internal legal processes and take responsibility for specific product areas.
  • Advise on legal and risk issues, including contract review and compliance with securitization requirements.
  • Review statutes and regulations relevant to vehicle management and leasing.
  • Assist in developing new products and services, including sourcing agreements and program contracts.
  • Support business development with RFP/RFI responses and bids.
  • Provide research and guidance to other attorneys across North America.
  • Conduct ongoing training on legal and regulatory issues affecting the company.

Requirements

  • JD from an ABA-accredited law school or LLB/JD from a Canadian law school.
  • Admission to the bar in one or more US or Canadian jurisdictions.
  • Minimum 5 years of experience negotiating and drafting commercial contracts in an in-house legal setting.
  • Excellent verbal and written communication skills.
  • Strong research and writing skills.
  • Proficiency in Microsoft Office and basic software.

Preferred Qualifications :

  • Experience with a range of commercial, corporate, and finance agreements.
  • Experience negotiating data protection agreements and familiarity with data privacy/security issues.
  • General business knowledge, especially in commercial, corporate, or finance areas.
  • Knowledge of equipment leasing and commercial loan documentation.
  • Experience with contract compliance management and systems.

The salary range for this position is $162,700 - $223,700 annually, depending on experience and other factors. This range applies to candidates working in Toronto; other locations will have different pay ranges.
