Assistant General Counsel

Position Summary:

This is a full-time salary position: Monday – Friday, 1st Shift.

The Assistant General Counsel will be a member of the Legal Department and will report to the VP, Associate Deputy General Counsel. This position will closely interface with other members of the Legal Department and business
development and operations personnel throughout Canada, the US, and certain
international locations. The
Assistant General Counsel will be an important legal resource on our commercial team, principally supporting the company's PCH (Pharma & Consumer Health) business unit. They will provide advice on, and assistance in negotiating and documenting, various commercial relationships, as well as mergers and acquisition matters and all other types of matters relating to the success of our business.

The Role:

  • Draft, review, analyze, structure and negotiate terms and conditions, manufacturing, packaging, development, purchase, supply, license and master service agreements

  • Advise and provide training to business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, and regulatory issues

  • Assist in merger and acquisition activity

  • Help to resolve any customer disputes and claims, support litigation and direct outside counsel in dispute/litigation matters

  • Provide general advice to senior management of the business units and other senior company business personnel on a day-to-day basis

  • Provide advice and guidance for the accomplishment of the overall
    business objectives in compliance with applicable laws and regulations and avoidance of unacceptable risks

  • Provide informed cost-benefit analysis when identifying risks

  • Other duties as assigned

The Candidate:

  • Law degree required, ability to practice as an in-house lawyer in Canada and to support on North American business

  • Minimum of 5+ years of transactional/commercial law experience with a combination of large law firms and/or in-house pharmaceutical experience

  • Must have commercial law experience in the pharmaceutical space, having worked in an in-house legal department, large law firm, or government agency

  • Able to practice (to the extent required) as an in-house lawyer in NJ

  • Currently Catalent does not participate in the Ontario Immigrant Nominee Program (OINP)

  • Candidates with non-Canadian credentials must provide an evaluation confirming the Canadian equivalency of the credentials as determined by the Alliance of Credential Evaluation Services of Canada (ACESC) such as WES

  • Individual may be required to sit, stand, walk regularly and occasionally lift 0-15 pounds
