Wolf & Williams in Sydney seeks a Senior Legal Counsel to lead corporate, funds, and company secretarial matters for a prominent Australian property development and construction group.

You will advise on fund structures, AFSL obligations, governance, and major transactions, collaborating with banks and external advisers. The role requires solid experience and strong drafting and negotiation skills, with a focus on regulatory compliance and corporate governance.

Qualifications

• 5+ years post-admission experience, gained in a law firm and/or in-house.
• Experience in funds management, MIS, and investment structures.
• Knowledge of AFSL obligations, responsible entity requirements and ASIC regulation.
• Exposure to property transactions, development projects and project finance.
• Experience with company secretarial and corporate governance matters.
• Strong understanding of the Corporations Act.
• Excellent drafting, negotiation and stakeholder management skills.

Responsabilités

• Provide corporate governance guidance and board papers.

Senior Legal Counsel - Corporate/Funds/Co Sec - Sydney

An opportunity has arisen for a Senior Legal Counsel to join a highly regarded, Australian property development and construction group.

Responsibilities
Funds Management

• Advise on fund structures, managed investment schemes, AFSL obligations and responsible entity requirements.
• Manage regulatory compliance, licensing obligations and ASIC requirements.
• Undertake the appointed role of AML/CTF Compliance Officer.
• Support capital raising, investor onboarding, fund establishment and restructures.
• Advise on fund documentation and investment arrangements.

Company Secretarial & Corporate Governance

• Handle company secretarial functions across the corporate group, including ASIC lodgements and statutory registers.
• Prepare board and shareholder papers, resolutions and minutes.
• Oversee entity establishment, corporate structures and officeholder changes.
• Advise on corporate governance, directors' duties and regulatory obligations.

Corporate

• Provide general corporate, commercial and structuring advice.
• Draft and negotiate commercial agreements, and financing documentation.
• Advise on property acquisitions, development transactions and joint venture arrangements
• Work with senior stakeholders, financial institutions and external advisers on transactions and legal matters.

The Ideal Candidate

• 5+ years' post-admission experience, gained within a reputable law firm and/or in-house legal team.
• Experience in funds management, managed investment schemes and investment structures.
• Knowledge of AFSL obligations, responsible entity requirements and ASIC regulatory compliance.
• Exposure to property transactions, development projects and project finance.
• Experience/and is interest with company secretarial and corporate governance matters.
• Sound understanding of the Corporations Act.
• Strong drafting, negotiation and stakeholder management skills.
