Job summary

Carta is hiring a Contracts Solutions Lawyer in Sydney to support the APAC region within the Carta Law team. You’ll handle high-volume pre‑M&A contracts, NDAs, and engagement letters, acting as the primary advisor to sophisticated investment fund and asset manager clients.

Leveraging AI-backed tools and Carta’s Ava platform, you’ll shape contract playbooks, mentor junior lawyers, and drive efficient negotiations while balancing risk and business goals in a fast-paced private capital environment.

Qualifications

• Qualified lawyer with 5+ PQE in APAC, UK, US or Canada.
• Experience negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
• Ability to build trusted relationships with fund and asset manager clients.
• Commercially minded with risk-vs-objective balance.
• Proficient with AI-backed contract review tools.

The Team You’ll Work With

You’ll be joining our Carta Law team, specifically within the Contracts - APAC function. Carta Law is the largest AI-native law firm for private capital, born from the combination of Avantia Law and Carta. Our Contracts team manages the full lifecycle of commercial contracts for clients – from first review through to execution. You’ll be the direct day-to-day contact for sophisticated investment fund and asset manager clients, working alongside fellow lawyers and paralegals. This team delivers high volumes of pre-M&A contract work at speed, supported by AI-backed tools including Carta’s proprietary platform, Ava.

• Independently negotiate and execute high volumes of pre-M&A contracts — NDAs, NRLs, joinders, and engagement letters — liaising directly with counterparties against agreed SLAs.
• Serve as the primary day-to-day contact for sophisticated investment fund and asset manager clients, building trusted advisor relationships.
• Maintain and evolve client-specific contract playbooks, ensuring consistency and quality across every negotiation.
• Mentor junior lawyers and paralegals, reviewing their work and contributing to a high-performing team culture.
• Use and continuously improve Carta's legal technology suite, identifying ways to innovate using AI-backed tools.
• Manage the full contract lifecycle for each matter, from first review through execution and system logging.

About You

• Law Degree and licensed to practice. You’re licensed to practise law in any APAC jurisdictions, the UK, US, or Canada, with 5+ PQE
• Track record. You’ve independently negotiated pre-M&A contracts like NDAs, NRLs, joinders, and engagement letters in a financial services legal environment.
• Trusted advisor. You build lasting relationships with sophisticated investment fund and asset manager clients and communicate legal advice crisply.
• Commercially minded. You balance legal risk against business objectives and flag issues before they escalation.
• Collaborative leader. You mentor junior lawyers and paralegals and take ownership of your work in a fast-paced environment.
• Tech-forward highly preferred. You’re proficient with AI-backed contract review tools and look for ways to improve them.
• Language capability highly preferred. Able to review and negotiate in Japanese, Korean or Mandarin
