Job summary

Mercor is seeking a Corporate Development Expert for a remote contract role. You will own live M&A processes, build advanced valuation and merger models, and draft term sheets and IOIs. Compensation is $85–$100 per hour.

You will work asynchronously to run diligence, screening, and board-ready analyses, collaborating with cross-functional teams while delivering high-quality transactions from start to finish.

Qualifications

• 4+ years in an in-house corporate development or M&A role.
• Hands-on ownership of live transactions end-to-end.
• IB/PE background preferred; Big 4 transaction advisory is a plus.

Responsibilities

• Build valuation and merger models, including three-statement, DCF, trading and transaction comps, accretion-dilution, cap table, and equity waterfall.
• Draft and compare transaction terms such as IOIs, LOIs, term sheets, bid comparisons, deal structure, and consideration economics.
• Produce process and board materials, including management presentations, data packs, buyer universes, board and committee decks, closing mechanics, and funds flow.
• Run screening, diligence, and integration work, including inbound deal screens, diligence request lists, findings synthesis, synergy models, carve‑out analysis, and 100‑day plans.
• Work independently and asynchronously to deliver high-quality M&A exercises from mock files.
