Job summary

Guidepoint’s Legal team plays a pivotal global role across all offices. The Contracts Specialist will be the main contact between the legal team and internal/external stakeholders on contract management, including drafting, reviewing and negotiation.

This role reports to our Associate General Counsel. You will draft, review and negotiate client and vendor agreements, NDAs and SOWs, manage the Contracts Queue, templates, and ensure policy compliance.

Qualifications

• Bachelor’s Degree with at least 3 years’ experience working with contracts.
• Fluency in English is a must.
• Experience reviewing, editing, negotiating legal agreements.
• In-house contract management experience preferred.
• Knowledge of GDPR and data protection laws; experience negotiating DPAs.
• Experience reviewing and negotiating master services agreements.

Responsibilities

• Draft, review and negotiate client and vendor contracts, NDAs, MSAs, SOWs, and DPAs for global stakeholders.
• Manage Contracts Queue and coordinate all contract management activities.
• Serve as primary liaison between legal and internal/external stakeholders seeking reviews and updates.
• Maintain contract template library and other knowledge management functions.
• Ensure compliance with contract approval policies and procedures.
• Collaborate with Compliance and suggest system improvements.
• Handle special projects as needed.
