Job summary

Hall & Wilcox in Brisbane is seeking a lawyer with 2-4 years of post-admission experience to join our Corporate & Commercial team. You will work alongside partners and lawyers and have opportunities to collaborate with teams in Melbourne, Sydney, Perth and Newcastle.

The role offers significant learning opportunities from an experienced team and exposure to a variety of clients across industries, including drafting and negotiating various transaction documents and key commercial contracts.

Qualifications

• 2-4 years of PAE in corporate and commercial law.
• Experience in capital markets or M&A transactions.
• Commercially savvy with a can-do attitude.

Responsibilities

• Drafting and negotiating transaction documents including share sale agreements, shareholders agreements and investment documents.
• Working on a range of matters relating to M&A and capital markets transactions, including preparation of capital raising documents, due diligence and attending to completion of transactions.
• Liaising with clients and corporate and other advisers, as well as other groups within our firm who provide specialist input on corporate transactional issues (such as Employment, Banking, Tax, Property and Projects colleagues).
• Being part of a team on other commercial transactions, such as joint ventures and management equity arrangements; and
• Drafting and advising on key commercial contracts for clients from time to time.

About the roleand team

We have an exciting opportunity for a lawyer with 2-4 years of post-admission experience (PAE) to join our Brisbane Corporate & Commercial team, working alongside partners and lawyers in a well-established team. The role will also offer opportunities to work with our Corporate & Commercial partners and lawyers in Melbourne, Sydney, Perth and Newcastle.

This is a fantastic hands-on corporate & commercial role, with significant learning and development opportunities from the experienced and well-regarded team and the opportunity to work with interesting clients across a variety of industries.

You will be responsible for:

• drafting and negotiating transaction documents including share sale agreements, shareholders agreements and investment documents;
