Responsibilities
- Business Registrations: Facilitate and manage business registrations with the Secretary of State (SoS).
- Payroll-Related Registrations: Obtain necessary payroll-related registrations such as Withholding Tax and Unemployment Insurance in relevant states.
- Registered Agent Activation: Activate and maintain registered agent services where applicable, ensuring timely tracking and renewals.
- Workmen’s Compensation and Family Medical Leave Insurance (FMLI): Assist the payroll function in enabling workmen’s compensation and FMLI activations as required.
- Third-Party Administrator (TPA) Activation: Support the payroll function in activating TPAs for registered states and coordinate timely statutory payroll return filings.
- Compliance with Corporate and State Laws: Monitor and ensure compliance with corporate and state legal requirements, including periodic corporate filings (e.g., director changes, share transfers, capital increases) and annual reports.
- Regulatory Engagement: Manage routine interactions with regulatory authorities, respond promptly to notices, and implement corrective measures to ensure closure.
- Statutory Registers and Records: Maintain statutory registers, records, and shareholding structures for all assigned entities.
- Corporate Documentation: Oversee the preparation and management of corporate documents including charters, articles of association, bylaws, and capital-related matters (e.g., capital changes, injection of funds).
- Business Licenses and Permits: Track, renew, and ensure the accuracy of business licenses, permits, and other registrations.
- Intercompany Agreements: Ensure intercompany agreements are established and maintained effectively.
- Board of Directors Support: Provide comprehensive assistance to the board, including preparing materials for meetings, drafting resolutions, and advising on governance best practices.
- Service Provider Management: Oversee relationships with local service providers, such as corporate secretary services, ensuring high‑quality deliverables.
- Compliance Calendar: Develop and maintain a robust compliance calendar to monitor critical deadlines and obligations.
Qualifications
- Bachelor’s Degree required.
- Excellent communication skills in English.
- Proven experience in corporate law, particularly for private limited liability companies.
- 3+ years of experience in a global firm, with a focus on legal entity governance and regulatory reporting for European and American entities.
- Strong understanding of legal requirements across different states and federal jurisdictions in the US.
- Experience liaising with foreign stakeholders and navigating multi‑jurisdictional environments.
- Experience working in large‑scale businesses or multinational corporations.
- Proficiency in managing vendor relationships and handling regulatory notices.
- Experience maintaining compliance calendars and managing annual report filings.
- Ability to support payroll matters and ensure regulatory compliance.
