Job summary

Client of S&K HR Consulting is seeking a senior compliance leader to supervise company-wide regulatory adherence from a Sharjah base. The role requires extensive experience in legal and regulatory functions within UAE or GCC markets.

You will develop action plans, lead governance, and liaise with regulators including SCA and ADX while guiding management through complex compliance challenges. The position involves frequent governance reporting and staff training.

Qualifications

• Bachelor of Laws (LLB) or Master of Laws (LLM) required.
• Recognised professional compliance certification (e.g. ICA diploma or Certified Compliance Officer).
• 10+ years in legal, compliance or regulatory roles.
• At least 5 years within a compliance function in a listed company, regulated entity, or the energy sector in the UAE or GCC.
• Working experience with SCA (formerly SCA) and ADX requirements is essential.

Responsibilities

• Oversee compliance across the company and subsidiaries with laws, regulations, policies and procedures.
• Provide assurance to senior management and the Board on policy effectiveness.
• Develop annual compliance action plan with General Counsel; present to Audit Committee.
• Design and maintain internal ethics and compliance policies (Code of Conduct, anti-bribery, conflicts of interest, gifts & hospitality, whistleblowing, insider dealing and related party transactions).
• Maintain central policy register and governance process for review and updates.
• Monitor compliance with SCA and ADX listing requirements including insider lists and related party transactions controls.
• Act as regulatory liaison with SCA and ADX; coordinate with Board Secretary and Investor Relations.
• Ensure regulatory filings and deadlines are met.
• Provide strategic guidance and practical timely advice to management on proposed transactions and day-to-day compliance queries.
• Design and deliver compliance training and awareness programmes for employees and Board; oversee annual Code of Conduct acknowledgements.
• Manage conflicts of interest and gifts/hospitality declarations; advise on handling disclosed conflicts.
• Administer whistleblowing channel protecting confidentiality of whistleblowers.
• Conduct independent investigations into compliance matters with Legal, HR and Internal Audit as needed.
• Oversee integrity due diligence and sanctions screening of third parties.
• Coordinate compliance risk assessments and remedial actions; support audits and regulatory examinations.
