Partner Firm in the United Arab Emirates is seeking a seasoned Business & Commercial Law Paralegal to support a U.S. law firm remotely. You will assist with entity formation, governance, contract management, and complex transactions while coordinating due diligence and regulatory filings.

Qualifications

Minimum 5 years of professional experience as a paralegal, lawyer, or attorney.
Experience working with a U.S. business or commercial law firm is required.
Strong drafting and reviewing of contracts, corporate records, and transactional documents.

Responsabilités

Support attorneys with business formation, corporate governance, and commercial transactions.
Prepare and organize formation documents for LLCs, corporations, partnerships, and other entities.
Draft, review, and revise operating agreements, bylaws, resolutions, and related governance documents.
Assist with drafting and managing commercial agreements (service, vendor, nondisclosure, licensing, etc.).
Maintain corporate records and minute books, ensuring accuracy and up-to-date information.
Coordinate due diligence, virtual data rooms, and closing checklists to move transactions forward.
Communicate with clients, attorneys, accountants, and stakeholders to coordinate deliverables and deadlines.
