Job summary

Intesa Sanpaolo S.p.A. in Dubai invites an experienced solicitor to advise our MEA Branches under the International Network Legal Advisory Department.

You will draft and negotiate banking and security documentation, provide cross-border legal guidance, and support restructurings, capital markets, project finance, and IT contracts. We seek UK/US/Australian qualified lawyers with 5-7 years experience, trained at an international law firm, and prior in-house banking exposure.

Qualifications

• 5-7 years of experience in the role.
• Qualified solicitor/lawyer in UK/US/Australia.
• Training from an international law firm.
• Experience from an in-house role at an international bank.

Responsibilities

• Provide legal advice to all business and non-business areas of Intesa Sanpaolo branches in the MEA region.
• Draft, review and negotiate corporate banking documentation (confidentiality agreements, banking mandates, term sheets).
• Draft, review and negotiate security/quasi security documentation (guarantees, mortgages, liens).
• Advise on distressed debt, restructurings, workouts, hedging and related documentation.
• Support trade finance instruments and related documentation.
• Advise on insolvency and litigation issues.
• Review documentation related to capital markets, project finance, leveraged finance, structured finance, M&A.
• Draft, review and negotiate non-core business contracts (IT, property).
