Job summary

Tanqeeb in Dubai seeks a proactive Legal & Compliance Specialist to provide pragmatic UAE corporate and commercial law advice, navigate regulatory frameworks, and support fast-growing operations.

You will draft and negotiate contracts, advise on VARA/DFSA-related matters, and help govern entities while coordinating with external counsel as needed. English fluency is mandatory.

Qualifications

• Bachelor’s Degree in Law (LLB) or Master of Laws (LLM) or equivalent
• 5+ years of in-house legal, legal consulting, or corporate compliance experience
• Strong understanding of UAE corporate and commercial law, contract law, and financial regulatory landscapes
• Commercial, practical problem-solving mindset with flexible, solution-oriented legal advice
• Full professional fluency in English

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including service contracts, vendor agreements, NDAs, strategic partnerships, and terms of service
• Provide continuous legal counsel on UAE/Dubai corporate and commercial regulations across Mainland and major Free Zones (e.g., DIFC, ADGM, DMCC)
• Track and interpret regulatory developments from VARA and related bodies; assist in structuring initiatives to ensure compliance
• Support corporate governance initiatives, including board resolutions, shareholder agreements, and Powers of Attorney
• Coordinate with external law firms and regulatory consultants when specialized advisory or litigation support is required

About the Role

We are looking for a proactive, business-oriented Legal & Compliance Specialist to join our team in Dubai. In this role, you will provide pragmatic, agile legal advice and regulatory guidance to support our rapidly expanding business operations. The ideal candidate possesses a solid foundation in UAE/Dubai corporate and commercial law, an understanding of financial regulatory frameworks, and the commercial acumen to solve complex legal challenges in a fast-paced environment.

Key Responsibilities

• Commercial Contracts & Negotiations:Draft, review, and negotiate a wide range of commercial agreements, including service contracts, vendor agreements, NDAs, strategic partnerships, and terms of service. Ensure all commercial agreements align with business objectives while mitigating legal and operational risks.
• Regulatory Advisory & Compliance:Provide continuous legal counsel on UAE/Dubai corporate and commercial regulations across Mainland and major Free Zones (e.g., DIFC, ADGM, DMCC). Monitor evolving regulatory trends, financial market policies, and licensing requirements applicable to the company's business model.
• Virtual Assets & Fintech Guidance:Track and interpret regulatory developments from the Dubai Virtual Assets Regulatory Authority (VARA) and related bodies. Assist in structuring business initiatives, product launches, and operational workflows to ensure full compliance with VARA rulebooks and market conduct requirements.
• Corporate Governance & Entity Management:Support corporate governance initiatives, including drafting board resolutions, shareholder agreements, Powers of Attorney (POAs), and maintaining corporate records. Liaise with local government bodies, Free Zone authorities, and commercial registries.
• External Counsel & Dispute Management:Coordinate with external law firms and regulatory consultants when specialized advisory or litigation support is required.

Requirements & Qualifications

• Education: Bachelor’s Degree in Law (LLB), Master of Laws (LLM), or equivalent legal education.
• Experience: 5+ years of progressive in-house legal, legal consulting, or corporate compliance experience, preferably within the UAE.
• Legal Expertise: Strong understanding of UAE corporate and commercial law, contract law, and financial regulatory landscapes.
• Mindset & Approach: Highly commercial, practical problem-solving mindset with the ability to provide flexible, solution-oriented legal advice rather than rigid interpretations.
• Language Skills: Full professional fluency in English (written and verbal) is mandatory.

Preferred

• Direct exposure to or familiarity with VARA (Virtual Assets Regulatory Authority) regulations, DFSA, FSRA, or SCA frameworks.
• Prior experience in the Web3, Fin Tech, Blockchain, Digital Assets, or Technology sectors.
• Proficiency in Mandarin Chinese or Arabic is a strong plus.
