Job summary

A prominent banking institution in the UAE seeks a Governance Manager to oversee corporate governance frameworks and compliance with UAE regulations. The ideal candidate will possess a recognized degree in Business, a minimum of 5 years of experience in corporate governance within banks, and strong communication skills. This role is critical for maintaining governance standards and supporting the board in their functions.

Qualifications

  • Minimum 5 years of experience in Corporate Governance in Banks.
  • Preferably Certification or advanced courses in Corporate Governance.

Responsibilities

  • Maintain and develop the Bank’s corporate governance framework, policies, and procedures.
  • Lead governance compliance across the Bank.
  • Implement governance programs in line with internal and regulatory requirements.
  • Develop and revise Board and Committee charters.
  • Assist in conducting Annual General Meetings.
  • Support the Board in performance self-assessment.
  • Ensure accurate public disclosures on the Bank’s website.

Job description
Job Purpose:

The Governance Manager is responsible for knowing, understanding, and implementing Corporate Governance policies and procedures.

The Job holder will be responsible for establishing and maintaining corporate governance framework, related policies, and procedures in accordance with UAE CB Corporate Governance Regulations and Standards and code of governance issued by the Security & Commodities Authority. He/She will ensure that robust and proportionate corporate governance processes are implemented and adhered to. The job holder will assist the Head of Corporate Governance and Board affairs in building strong corporate governance culture across the bank through developing Charters for the Board, Board Committees and also Executive Management Committees.

The Governance Manager may be assigned other duties as required, to support the general operations and governance of the organization.

Job Accountabilities:
  • Be responsible for maintaining and developing the Bank’s corporate governance framework, policies, and procedures in compliance with the UAE CB regulations and Standards and the Corporate Governance code of Security and Commodities Authority (SCA).
  • Taking the lead for governance compliance across the Bank and pro-actively challenging non-adherence.
  • Implement governance programs in line with internal and regulatory requirements. Monitoring and ensuring that the governance programs are working
  • Develop new and where applicable revise the Board and its Committee charters
  • Actively assist the Head of Corporate Governance and Board affairs in conducting Annual General Meeting
  • Support the Board and its Committee in conducting periodic performance self-assessment
  • Annual General Meetings – support the Head of Governance and Board affairs in preparation for the AGM.
  • Ensure that public and investor disclosures on Bank‘s website are accurate and are disclosed in timely manner.
QUALIFICATIONS EXPERIENCE & SKILLS:

Experience
  • Minimum 5 years of experience in Corporate Governance in Banks.
Job Specific Skills:
  • Expert level of UAE CB Corporate Governance Regulations and Standards, code of Corporate Governance of Security and Commodity Authority and industry best practices of corporate governance.
Preferred Certification/Training
  • Preferably Certification or advanced courses in Corporate Governance.
