Job summary

Nelum seeks an experienced Chief Legal Officer/General Counsel with expertise in mining, commodities, international trade and taxation. The role sits at the nexus of technology, mining and financial infrastructure across multiple jurisdictions, steering regulatory, governance and contracting strategy.

This is a fractional role moving to permanent, reporting closely to the CFO and coordinating with external tax specialists.

Qualifications

• Experience in mining and commodities law across multiple jurisdictions.
• Strong knowledge of international trade, sanctions and export controls.
• Expertise in tax planning and cross-border taxation in mining contexts.
• Proven ability to draft and negotiate complex commercial and governance agreements.
• Experience managing regulatory and compliance programs across borders.

Responsibilities

• Lead Nelum's legal strategy across mining, commodities, international trade and taxation.
• Oversee corporate governance, board documentation and licensing in multiple jurisdictions.
• Draft and negotiate contracts (SaaS, commercial, investment documents) and oversee IP/tech licensing.
• Coordinate with external counsel and internal teams on regulatory and compliance matters.
• Manage risk, ensure sanctions/export controls compliance, and advise on structuring for cross-border transactions.
