Role Context

The Associate Director - M and A ECM will actively participate in transaction origination, analysis, execution, documentation, and client support across Global M and A Advisory and Equity Capital Markets. This role requires strong corporate finance discipline, advanced modelling ability, market awareness, and the capacity to manage defined execution workstreams under senior transaction leadership. The position plays an important role in supporting P and L targets, improving league table presence, preparing high-quality client materials, and ensuring transactions are reviewed through financial, legal, risk, and compliance lenses before execution.

Key Responsibilities

• Support Executive Directors and Directors in originating and executing M and A advisory and equity capital markets transactions.
• Work on buy-side and sell-side M and A mandates, IPOs, rights issues, block trades, follow-on offerings, and other equity-related transactions.
• Manage assigned aspects of transaction execution as directed by the relevant transaction leader.
• Prepare high-quality pitch books, marketing presentations, information memoranda, investor profiles, transaction materials, and client discussion documents.
• Build sophisticated financial models for valuation, transaction analysis, scenario assessment, capital markets execution, and corporate finance decision support.
• Conduct market, company, sector, macroeconomic, and transaction research to support deal origination and client advisory.
• Ensure financial, legal, risk, compliance, and due diligence reviews are undertaken for transactions under consideration.
• Coordinate with internal investment banking, client coverage, product, risk, legal, compliance, and execution teams to support transaction progress.
• Work closely with IB and M teams to maximize the revenue wallet on each transaction.
• Collaborate with client coverage teams to deliver high-quality service to FAB clients.
• Contribute ideas for potential transactions, client opportunities, capital markets solutions, and advisory mandates.
• Support Egypt-focused M and A and ECM activity through market knowledge, client analysis, execution support, and regional transaction insight.
• Introduce international best practices, corporate finance standards, and professional presentation quality into client materials.
• Monitor M and A, equity capital markets, investor sentiment, sector activity, and macroeconomic developments relevant to current and potential transactions.
• Contribute to continuous improvement of transaction processes, internal systems, documentation standards, productivity, and execution quality.
• Follow departmental policies, procedures, systems, governance requirements, and legislative obligations while delivering cost-effective and high-quality service.
• Define annual performance goals with the reporting manager and work consistently toward achieving agreed targets.
• Identify personal training and development requirements and actively participate in professional development programs.
• Maintain a high level of technical proficiency across valuation, execution, client communication, transaction analysis, and corporate finance standards.
• Keep updated on professional developments, market practices, new techniques, and current issues in M and A advisory and equity capital markets.

Ideal Profile

• Strong experience in investment banking, M and A advisory, equity capital markets, corporate finance, valuation, or transaction execution.
• Practical exposure to buy-side transactions, sell-side transactions, IPOs, rights issues, block trades, follow-on offerings, or equity-linked capital market activity.
• Strong financial modelling skills with the ability to prepare valuation models, transaction scenarios, comparable company analysis, precedent transaction analysis, and capital markets analysis.
• Experience preparing pitch books, information memoranda, investor profiles, marketing presentations, management materials, and client-ready corporate finance documents.
• Good understanding of M and A processes, due diligence requirements, legal review, risk assessment, compliance review, and transaction governance.
• Strong interest in M and A, equity capital markets, macroeconomic trends, sector developments, and regional investment opportunities.
• Ability to manage defined transaction workstreams while coordinating with senior bankers, client coverage teams, product partners, and control functions.
• Knowledge of Egypt-related markets, corporate activity, investor landscape, or regional transaction flow is an advantage.
• Strong analytical skills with the ability to research companies, industries, markets, ownership structures, and potential transaction opportunities.
• Excellent written and verbal communication skills with strong attention to presentation quality and commercial messaging.
• Ability to work under pressure, manage deadlines, support multiple live transactions, and maintain accuracy in detailed financial work.
