Placements24 is seeking a skilled Legal Counsel specializing in M&A. You will lead or support transactions from sourcing to closing, with drafting, due diligence, and structuring responsibilities.

The role combines in-office collaboration with executives and finance teams and offers hybrid work in South Africa. The ideal candidate holds an LLB, admission as an attorney, and at least 5 years of M&A experience, with strong drafting, negotiation, and analytical skills to manage multiple deals

Qualifikationen

• LLB or equivalent qualification required.
• Admission as an attorney with practicing certificate.
• Minimum 5 years in M&A transactions, in-house or at a reputable firm.

Aufgaben

• Provide legal advice and support throughout the M&A transaction lifecycle.
• Conduct due diligence on target companies and identify risks and opportunities.
• Draft, review, and negotiate SPAs and APAs.
• Assist in structuring M&A transactions for tax and legal optimization.
• Coordinate with internal and external stakeholders during deal execution.
• Manage post-closing integration from a legal perspective.
• Advise on corporate governance matters related to transactions.
• Stay updated on M&A regulations and market trends.
