Job summary

Fedgroup in Sandton is seeking a Senior Governance Specialist to lead governance across Boards and Committees within a fast-paced asset management environment.

You will provide company secretarial support, practical fiduciary advice and ensure statutory compliance across local and offshore structures, working with Legal, Compliance, Finance and Investments to manage risk and approvals.

Qualifications

  • Admitted Attorney or CA(SA with governance experience.
  • 7+ years post-qualification experience.
  • Experience in financial services, asset management, private credit, private equity or related areas.
  • Knowledge of the Companies Act, fiduciary duties, delegated authority and compliance.

Responsibilities

  • Lead governance and administration of Boards and Committees (including subcommittees).
  • Prepare agendas, packs, resolutions and minutes with accuracy and focus on decisions.
  • Manage governance processes for credit, investment and transaction approvals from submission to completion.
  • Review documentation, coordinate sign-offs and ensure authorities are in place.
  • Oversee company secretarial matters across entities, funds, trusts, SPVs.
  • Draft board/committee/shareholder resolutions and governance docs.
  • Provide practical governance guidance on law, fiduciary duties and decision-making authorities.
  • Offer guidance on B-BBEE and ownership considerations.
  • Collaborate with Legal, Compliance, Finance and Investment teams across local and offshore entities.
  • Identify governance risks and ensure timely follow-through.

Job description

An opportunity exists for an experienced Senior Governance Specialist to join a fast-paced alternative asset management environment, providing specialist governance, company secretarial and transaction support across the Group.

This is a senior, hands-on role for a technically strong and commercially minded professional who can work independently, manage complex matters and provide sound governance advice in a transaction-driven environment.

What You'll Do
  • Lead the governance and administration of assigned Boards and Committees, including Social & Ethics, Credit and Asset Management Committees
  • Prepare agendas, meeting packs, resolutions and accurate, decision-focused minutes, ensuring governance requirements and delegated authorities are met
  • Manage governance processes supporting credit, investment and transaction approvals from submission through to completion
  • Review transaction and approval documentation, coordinate sign-offs and ensure the appropriate authorities are in place
  • Manage company secretarial and statutory matters across companies, funds, trusts and special-purpose vehicles
  • Draft Board, Committee and shareholder resolutions, minutes and other corporate governance documentation
  • Provide practical advice on corporate governance, company law, fiduciary duties, conflicts of interest and decision-making authority
  • Provide guidance on B-BBEE, ownership structures and transaction considerations
  • Work closely with Legal, Compliance, Finance, Investment and other stakeholders across local and offshore environments
  • Identify governance and execution risks and ensure matters are followed through to completion
What You'll Bring
  • An admitted Attorney with a corporate, commercial, financial-services or transactional background, or CA(SA) with substantial governance and company secretarial experience
  • At least 7 years' relevant post-qualification experience
  • Proven experience within financial services, ideally alternative asset management, investment management, private credit, private equity or property finance
  • Experience supporting credit, investment or transaction approval processes
  • Strong knowledge of the Companies Act, corporate governance, fiduciary duties, delegated authority and statutory compliance
  • Practical knowledge of B-BBEE legislation and ownership structures
  • Experience with funds, trusts, SPVs, offshore structures or regulated financial-services entities would be advantageous
  • CGISA or an equivalent governance/company secretarial qualification would be advantageous

  • Strong ownership and follow-through, with the ability to deliver accurate, high-quality work under pressure
