Job summary

Placements24 is seeking an accomplished Corporate Attorney to join our client's legal department in Rustenburg, North West. The role focuses on corporate governance, M&A, and regulatory compliance, advising the board and supporting transactional activities in a major industrial conglomerate.

The ideal candidate has an LLM in Corporate Law, admission as an Attorney in SA, and at least seven years of experience handling M&A and corporate finance.

Qualifications

• Qualified corporate attorney with strong governance, M&A, and regulatory expertise.
• Proven drafting and negotiation skills across corporate agreements.
• Experience advising boards and handling due diligence for transactions.
• Strong understanding of South African corporate law and regulatory frameworks.
• Ability to manage complex projects and work under pressure.

Responsibilities

• Provide comprehensive legal counsel on corporate law, securities law, and compliance matters.
• Manage and execute mergers, acquisitions, divestitures, and joint ventures.
• Draft, review, and negotiate a variety of corporate agreements and contracts.
• Ensure adherence to corporate governance principles and statutory requirements.
• Advise on intellectual property protection and licensing agreements.
• Conduct due diligence investigations for potential transactions.
• Liaise with external legal counsel and regulatory bodies.
• Develop and implement corporate policies and procedures.
• Support the legal aspects of capital raising activities.
