Outsourced CFO is recruiting for a Secretarial Consultant.

This role will oversee a portfolio of secretarial clients and be responsible for ensuring compliance with the South Africa Companies Act 71 of 2008 and the requirements of the Companies and Intellectual Property Commission (CIPC).

The consultant will assist with company registrations, drafting and amending Memorandum of Incorporation (MOI), maintaining statutory records, and ensuring timely lodgement of annual returns.

The consultant will also manage share capital, share transfers, redemptions, allotments, and re-purchases, as well as changes to directors, company secretary, auditors, year-end, and registered office for their clients.

In addition, the consultant would be responsible for business development in the secretarial service offering, and managing the applicable SER for this subdivision.

This includes identifying new opportunities for growth and expanding the client base, as well as ensuring that the services provided meet or exceed the expectations of existing clients.

Key Responsibilities
  • Oversee a portfolio of secretarial clients and provide advice and guidance on compliance with the Companies Act and CIPC requirements.
  • Handle company registrations and all amendments to CIPC on behalf of clients.
  • Draft and amend Memorandum of Incorporation (MOI) on behalf of clients.
  • Ensure iXBRL and compliance checklists are up to date and accurate for each client.
  • Manage share capital, share transfers, redemptions, allotments, and re-purchases on behalf of clients.
  • Handle changes to directors, company secretary, auditors, year-end, and registered office on behalf of clients.
  • Lodge annual returns on behalf of clients and ensure compliance with the Companies Act.
  • Compile share registers, draft resolutions, and maintain statutory records for each client.
  • Handle all amendments to Close Corporations on behalf of clients.
  • Ensure compliance with all other related statutory requirements for each client.
  • Maintain and update the data of all clients in a client maintenance system (Infodocs).
  • Plan and administer tasks: prepare agenda for meetings, update pricing plans, ensure timely invoicing.
  • Review monthly financial performance of Secretarial subdivision.
  • Ensure proactive planning, timeline and expectation management.
  • Submit timesheets before COB on Fridays and ensure accurate display of jobs on Zoho projects.
  • Report any inaccuracies on time allocation or project allocation errors.
  • Update Zoho status on tasks on a daily basis.
Requirements
  • Matric as a minimum; National Diploma in a secretarial or business administration field is highly beneficial.
  • 5+ years of Secretarial compliance experience.
  • Proven hands‑on experience managing a portfolio of diverse clients, with full responsibility for statutory records, annual returns, and corporate changes (directors, share capital, MOI amendments).
  • Demonstrable expertise in managing complex share capital transactions (transfers, allotments, redemptions, re‑purchases).
