Job summary

Placements24 is seeking a Legal Counsel specializing in Commercial Contracts for a fully remote role in South Africa. You will draft, review, negotiate, and manage a high volume of contracts across SaaS, vendor relations, partnerships, and licensing, advising internal teams on terms and risks.

Required: admitted attorney with at least 5 years' experience in drafting/negotiating commercial contracts, strong contract and IP knowledge, and the ability to work independently in a remote setting.

Qualifications

• Admitted Attorney with at least 5 years of relevant experience in drafting and negotiating commercial contracts.
• In-depth understanding of contract law, commercial law, and intellectual property principles.
• Proven experience with technology-related contracts (SaaS, software licensing) is highly desirable.
• Exceptional drafting, negotiation, and analytical skills.
• Ability to work independently, manage multiple projects remotely and meet deadlines.
• Strong business acumen and the ability to provide practical, risk-based legal advice.
• Excellent communication and interpersonal skills for virtual collaboration.

Responsibilities

• Draft, review, negotiate, and manage a wide array of commercial agreements, including SaaS agreements, vendor contracts, partnership agreements, NDAs, and SLAs.
• Advise internal business teams on contractual terms, risks, and legal implications.
• Ensure all contracts comply with company policies, applicable laws, and regulatory requirements.
• Develop and maintain standardized contract templates and playbooks.
• Assist in the development and implementation of contract management processes and systems.
• Identify and mitigate legal and commercial risks associated with contractual relationships.
• Collaborate with Sales, Procurement, Engineering, and Finance to facilitate contract execution.
• Provide legal support for ongoing contract administration and disputes.
