Overview
ProSidian Seeks an Oil and Gas (Petroleum) Legislation Attorney / Consultant [541690 Contract Contingent] located in Cape Town, South Africa, to support an engagement for the U.S. Govt. International Technical Assistance Program (ITAP) providing assistance on technical, regulatory, environmental, and financial management for national development on a range of energy and non-energy resources.
The role focuses on policy, legal and regulatory reform; technical, operational, and economic analysis; financial mechanisms and market creation; economic management, transparency and fiscal policy; and environmental and social issues related to resource development. The consultant will deliver technical assistance and training across the four Capacity Challenges: technical understanding of resources and extractive technologies; financial management of sector revenues; legal best practices for international laws and regulations; and environmental protections for people and environment.
Typical country stakeholders include government officials at various levels, legislators, regulators, and communities (including vulnerable groups).
Responsibilities
- Analyze oil and gas (petroleum) leases and agreements and ensure proper execution and recording by the correct parties.
- Provide advice, training, and support on a full range of oil and gas legal matters in domestic and international developments, including acquisitions/divestitures, financings, public policy, joint operations, exploration and production, intellectual property and litigation, environmental health and safety, field services and construction.
- Offer guidance on real estate, land use approvals, and siting issues affecting developing and expanding oil and gas projects.
- Provide industry technical expertise for asset development activities including acreage swaps, joint ventures, joint operations, acreage acquisition, and leasing.
- Support regulatory issues for joint ownership, construction, operations, transportation, commercial, and compliance matters; assist in negotiations with royalty owners, joint venture parties, and contractors/suppliers; advise on exploration, drilling, and development activities; and address environmental and safety regulations.
- Draft and negotiate a range of agreements (joint operating agreements, drilling contracts, master services agreements, oil and gas leases, land agreements, surface access, exploration agreements, farm-outs/in, purchase and sale agreements, confidentiality agreements, and related E&P agreements).
- Advise oil and gas industry clients on ownership, operation, and finance of production assets, including acquisition, joint venture and joint production arrangements; international production sharing agreements; tax-sensitive partnership agreements; operating agreements; leases; and production sharing financing.
Qualifications
Leadership, communication, and government financial management experience with budgeting, financial modeling, reporting, and presentations. Minimum ten (10) years performing Federal Government Management in fields related to Oil, Gas, and Extractives, with specialty in management and operations, law, geology, policy, valuations, corporate finance, M&A, energy investments, energy development, energy infrastructure, commodities management, and natural resource markets.
The focus regions include priority countries across:
- The Western Hemisphere: Argentina, Brazil, Colombia, Guatemala, Guyana, Mexico, Panama, Suriname
- Europe and Eurasia: Bulgaria, Estonia, Latvia, Lithuania, Poland, Romania, Turkey, Albania, Ukraine
- Sub-Saharan Africa: Kenya, Liberia, Madagascar, Mauritania, Namibia, Senegal, Seychelles, Sierra Leone, Somalia, Tanzania, South Africa
- Middle East and North Africa: Algeria, Jordan, Morocco, Tunisia
- Asia and the Pacific: India, Indonesia, Mongolia, Vietnam, Burma, Papua New Guinea, Sri Lanka
Requirements include a minimum of ten (10) years of consecutive employment with comparable responsibilities in the past five (5) years, strong computer skills (email; Microsoft Office: Word/Excel/PowerPoint); and related tools.
Qualifications (Key Skills)
- Recognized Law Degree (J.D. or equivalent) from a top-tier law school; experience with a leading law firm in the country of focus.
- Excellent oral and written communication skills.
- Experience drafting and negotiating purchase/sale, joint development, participation, farming, operating, transportation, and gathering agreements; oil and gas leases and related documents.
- Experience with Production Sharing Agreements and Royalty Interest leases; knowledge of upstream and midstream energy; downstream and power experience is a plus.
- Licensed and in good standing in at least one state or country of focus.
- Experience in infrastructure development, project finance, debt-equity, regulatory matters, and various oil and gas transaction types (upstream, midstream, LNG, downstream, etc.).
- Strong academic record, analytical and writing abilities, team-oriented mindset, and ability to lead transactions.
