Litigation Associate - Financial Services - Sandton

Our client in the financial services industry has an opportunity for a Litigation Associate.

The role involves drafting a suite of legal agreements, from the term sheet to the final execution documents, with careful consideration of the legal nature of the various entities and the differences in each entity's corporate structure through which the borrower operates.

The ideal candidate will enjoy engaging with intellectual, psychological, and complex legal matters.

Key Responsibilities
  • Review legal agreements, considering each entity's legal nature and corporate structure within a range of different industries (existing funding agreements, supplier agreements, rental agreements, distribution agreements, etc.).
  • Research legal questions to give advice to the credit committee regarding potential new transactions.
  • Manage external law firms in relation to costs, litigation and registering of securities.
  • Negotiate contracts, including a significant software supply contract.
  • Advise the board on regulatory changes for regulatory compliance.
  • Perform Company Secretary duties, including managing the share register, board resolutions, directorship changes, and ad hoc projects.
  • Draft and implement risk management and compliance policies, ensuring compliance with FICA and POPIA.
  • Conduct regulatory reporting to relevant authorities including the FIC, NCA, Information Regulator and FSCA.
  • Representative registered with the Financial Sector Conduct Authority.
  • Perform KYC / FICA checks on clients.
Requirements

  • Currently working in a law practice / firm with experience in commercial litigation matters.
