As a Junior Legal Advisor and Company Secretary you will be required to provide administrative and legal support within the organisation, often working closely with external Legal Advisors, the Management Team and the Board of Directors ("The Board").
Qualifications and Technical Skills
- Degree in Law, Bachelor of Laws (LLB)
- Chartered Secretaries Southern Africa / Chartered Governance Institute of South Africa (CSSA / CGISA) Qualification
- Computer Literacy: MS Word, Excel, Outlook, Accpac or similar
- Must be registered with the Legal Practice Council
- 5 years' post-admission experience as a legal practitioner with commercial and corporate law experience will be preferred
- Previous experience in a legal position or support role is required
- Experience with some legal software and databases will be beneficial
- Legal Knowledge: a good understanding of the Law and Legal Procedures, and in particular, commercial and corporate law principles
- Organizational Skills: strong ability to manage multiple tasks, prioritize work, and meet deadlines
- Communication Skills: excellent written and verbal communication skills for drafting documents, corresponding with stakeholders, and interacting with colleagues and the Board
- Attention to detail: accuracy and meticulousness in handling legal documents and information
Core Functions
- Providing secretarial and governance support to the Board and Management, including convening of Shareholders and Board meetings
- Attending meetings, taking minutes and giving guidance and advice where required
- Ensuring that Shareholder and Board decisions are carried through by relevant parties
- Preparing Shareholder's and Board resolutions where required
- Assisting with legal research, gathering information, and preparing summaries of legal precedents and statutes applicable to the organisation
- Drafting, and reviewing legal agreements and correspondence, including co‑ordinating with external Legal Advisors
- Monitoring and ensuring compliance with relevant laws and regulations, including providing Management and the Board with ongoing updates on changes in legislation affecting the organisation
