Job description

Department: Corporate Finance. Reports to: Chief Executive Officer / Managing Director. Location: Cape Town / Johannesburg (with domestic and international travel). Purpose of the Role: The Head of Corporate Finance at Numeral XII Group is responsible for building, leading, and managing a high‑performing corporate finance division that drives the Group’s strategic growth, capital allocation, and investment objectives.

This role involves developing a skilled team capable of formulating business and strategic plans, executing turnaround strategies, evaluating business opportunities, and delivering valuations that inform executive decision‑making. The Head of Corporate Finance oversees all aspects of the Group’s financial strategy, including capital raising, mergers and acquisitions (M&A), financial structuring, valuations, treasury and cash flow management, investor relations, and regulatory compliance. A key objective is to raise capital for strategic acquisitions and co‑investment opportunities that support both existing investments and new ventures within the Group. All activities must align with regulatory requirements, industry best practices, and Numeral XII Group’s vision for sustainable growth in South Africa and the broader African financial services environment.

Key Responsibilities
  1. Strategic Leadership

    Develop and implement the Group’s corporate finance strategy in alignment with overall business objectives.

    Provide strategic financial insight and recommendations to the Executive Committee and Board of Directors.

    Lead long‑term financial planning and forecasting to support growth and sustainability.

    Identify, evaluate, and execute investment, acquisition, and divestment opportunities aligned with the Group’s expansion strategy.

    Support the CEO and EXCO in corporate restructuring, market positioning, and strategic decision‑making.

  2. Capital Raising & Investment

    Lead capital raising initiatives, including equity, debt, and hybrid financing structures.

    Evaluate investment opportunities and recommend optimal capital structures to enhance shareholder value.

    Build and maintain strong relationships with investors, financial institutions, and regulatory bodies.

    Manage investor communications, due diligence, and presentations with professionalism and transparency.

  3. Financial Analysis & Modelling

    Develop and oversee detailed financial models for new initiatives, mergers, acquisitions, and divestitures.

    Conduct profitability analysis, risk assessment, and scenario planning.

    Oversee valuations, forecasting, and financial performance analysis across the Group’s operations.

  4. Mergers & Acquisitions (M&A)

    Lead and manage end‑to‑end M&A transactions, including deal origination, structuring, negotiation, execution, and post‑merger integration.

    Conduct comprehensive due diligence and valuation modelling.

    Identify potential acquisition targets, partnerships, or divestiture opportunities.

    Ensure alignment of synergies and strategic objectives post‑acquisition.

  5. Regulatory & Compliance Oversight

    Ensure all corporate finance activities comply with South African laws and regulations (FSCA, SARB, JSE, Companies Act).

    Maintain strong internal controls, governance, and risk management frameworks.

    Liaise with regulators, auditors, and legal counsel to uphold transparency and accountability.

    Ensure compliance with Numeral XII’s ethical standards and governance policies.

  6. Financial Reporting & Control

    Oversee accurate and timely financial reporting under IFRS, GAAP, or applicable standards.

    Implement financial controls and policies to safeguard assets and ensure data integrity.

    Support executive leadership with budgeting, cash flow management, and performance monitoring.

  7. Risk Management

    Identify, evaluate, and mitigate financial, operational, and credit risks.

    Manage liquidity, interest rate, and currency risks in line with Group policies.

    Implement proactive risk mitigation strategies to protect the Group’s financial position.

  8. Team Leadership & Development

    Build, lead, and mentor a high‑performing corporate finance team.

    Foster a culture of accountability, collaboration, and continuous improvement.

    Provide training, coaching, and succession planning for team members.

    Drive a high‑performance culture that supports the Group’s strategic objectives.

  9. Industry & Market Analysis

    Monitor economic trends, market dynamics, and regulatory developments impacting the financial services sector.

    Provide data‑driven insights on market opportunities, risks, and competitive positioning.

    Support the Group’s strategic direction through industry intelligence and forecasting.

Minimum Requirements
  • Bachelor’s degree in Finance, Accounting, Economics, or related field.
  • Postgraduate qualification (CFA, CA(SA), MBA, or equivalent).
  • 10 years progressive experience in corporate finance, investment banking, or financial advisory.
  • At least 5 years in a senior leadership role, with demonstrated success in M&A, fundraising, and financial structuring.
  • In‑depth knowledge of African financial markets, corporate governance frameworks, and regulatory environments.
  • Knowledge and experience in listed entity environments and note programmes.
