Responsibilities

A highly respected, full-service law firm is seeking an experienced Transactional Tax Attorney to join its growing corporate and real estate practice.


This opportunity is ideal for a tax attorney who enjoys being close to the deal—helping clients structure transactions, evaluate tax implications, solve complex problems, and develop practical, tax-efficient strategies.


The attorney will work closely with corporate and real estate attorneys and serve as a key tax resource for clients, developers, investors, business owners, and internal deal teams. The position offers sophisticated transactional work, meaningful client access, substantial schedule flexibility, and a clear path for long-term growth.


What You’ll Work On


  • Advise clients and deal teams on corporate, partnership, LLC, and transactional tax matters

  • Structure real estate acquisitions, dispositions, developments, joint ventures, investment funds, and financing arrangements

  • Provide tax guidance related to mergers, acquisitions, restructurings, business formations, and closely held companies

  • Analyze partnership allocations, capital accounts, distributions, and other matters involving Subchapter K

  • Draft and review tax provisions in partnership agreements, LLC operating agreements, purchase agreements, and other transaction documents

  • Advise on business succession planning, equity participation arrangements, shareholder agreements, and joint venture structures

  • Collaborate directly with attorneys, clients, developers, sponsors, investors, and business owners

  • Translate complex tax considerations into practical business recommendations


Depending on experience, the attorney may also advise on tax-sensitive investments involving opportunity zones, historic tax credits, renewable energy credits, affordable housing, or similar incentive programs.


What We’re Looking For

The firm is interested in attorneys with experience in one or more of the following areas:



  • Corporate and partnership tax planning

  • Transactional tax structuring

  • Real estate transactions or investment structures

  • Joint ventures, funds, partnerships, or LLCs

  • Mergers and acquisitions

  • Closely held businesses or private clients

  • Tax provisions within operating agreements and transaction documents


Ideal candidates will also have:



  • Approximately four or more years of relevant tax experience

  • Working knowledge of partnership taxation and Subchapter K

  • Experience providing strategic tax advice rather than primarily preparing tax returns

  • The ability to communicate confidently with clients, attorneys, and business professionals

  • A collaborative, practical, and relationship-focused approach

  • A J.D. from an accredited law school

  • Active and good-standing membership in at least one U.S. state bar


Law firm experience is preferred. Attorneys from accounting, consulting, government, or in-house environments may also be considered when their experience includes substantial transactional tax planning and structuring.


An LL.M. in Taxation is helpful but not required.


Location and Flexibility

The position is based in Baltimore, Maryland, with a highly flexible hybrid schedule.


In-person attendance is generally expected approximately two days per month for client meetings, team collaboration, and other business needs.


Candidates may be based in:



  • Washington, D.C.

  • Northern Virginia

  • Philadelphia

  • Delaware

  • New Jersey

  • Other locations with practical access to Baltimore or the Northeast Corridor


Candidates must be willing and able to travel to Baltimore as needed. Maryland Bar admission is not required at the time of application, although the selected attorney may need to obtain admission or waive into Maryland.


Compensation and Growth

Compensation will be based on experience, class year, and level of responsibility.



  • Associate compensation: Approximately $155,000–$240,000

  • Senior associate or counsel-level compensation: May reach $275,000–$300,000+

  • Billable expectation: Approximately 1,850 hours, including eligible pro bono work
